Role Summary

The role of the Chair is to provide leadership and direction to the board of Trustees and to chair the Trustee meetings. The Chair’s aim is to enable the board to fulfil their responsibilities for the overall governance and strategic direction of Cancer Research Wales.

The Chair will ensure that Cancer Research Wales complies with its governing document and constitution, charity law and any other relevant legislation or regulations and to make sure that Cancer Research Wales pursues its objects as defined in its governing document and constitution.

The Chair's role is to work in partnership with the Chief Executive Officer (CEO) of Cancer Research Wales and to support the employees, enabling them to achieve the aims of the organisation; and to optimise the relationship between the board of Trustees and the staff.

In addition to the general responsibilities of a Trustee, the Chair has a number of tasks specific to their role.

Main Responsibilities of the Chair

  • Providing leadership for the Board of Trustees in their role of setting the strategy and policy of the organisation.
  • Chairing and facilitating the Board meetings.
  • Liaise regularly with the Treasurer to maintain a clear grasp of the charity’s financial position and to ensure full and timely financial transparency and information disclosure to the Board.
  • Taking urgent action (but not decision making unless authorised) between Board meetings when it isn’t possible or practical to hold a meeting.
  • Representing the organisation at appropriate events, meetings or functions as a figure head.
  • Acting as a spokesperson for the organisation where appropriate.
  • Lead the Board in fostering and developing relationships with potential stakeholders including potential funders/donors.
  • Consult with CEO on matters of strategy, governance, finance and HR.
  • Oversee the CEO’s activities in the context of the implementation of Board’s strategy and policies.
  • Maintain oversight of any risk to reputation and/or financial standing of the organisation through the Risk Register.
  • Receive regular informal progress reports of the organisation’s work and financial performance from the CEO.
  • Reviewing and appraising the performance of the CEO.
  • Attending and being a member of other committees or working groups when appropriate in role as Chair.

Qualities of a Chair

  • Commitment and understanding of the work of Cancer Research Wales.
  • Leadership skills coupled with the ability to bring independent judgement to make decisions for the good of Cancer Research Wales.
  • A willingness to devote the necessary time and effort to the duties as Chair and Trustee.
  • Good communication skills coupled with diplomacy.
  • Willingness to listen to the views of others and yet be prepared to speak one’s mind when appropriate.
  • Ability to work as an effective team member as well as leader.
  • Understanding of the legal responsibilities and liabilities of a Trustee.

Desirable experience

  • Prior experience of Committee/Charity Trustee.
  • Knowledge of the work undertaken by Cancer Research Wales.
  • A wider involvement with the voluntary sector within Wales.

Time Commitment

  • The Board meets four times a year in Cardiff.
  • It is important that the Chair is able to visit the charity office and be available to the Chief Executive Officer in person, by phone, text or email, on a regular basis.
  • From time to time, the Chair should be available to attend and represent the charity at events and meetings during the day or at evening functions.
