A membership charity based in Central London are looking for a Company Sectary. The main purpose is to line manage, develop and train the staff within the Section and the setting and management of budgets for the Section. The candidate would need to provide advice to the Board of Trustees, Council and Disciplinary and Complaints Committee and Senior Management Team on compliance with the Bye Laws and Regulations.
Draft agendas for, and take minutes at, Board of Trustees, DCC and Council Management meetings, initiating agenda items in agreement with the President and the Chief Executive. Draft Council and Board papers, as required.
Work independently to manage the cycle of Board and committee work.
To support the Registrar in the management of Complaints
Take full responsibility for Information Governance and Data Protection matters.
Ensure that any issues around compliance with applicable laws and regulations are identified and reported and managed appropriately
To work with Directors to maintain a register of policies across the College and ensure they are kept up to date and approved at an appropriate level.
Ensure all governance related policies are kept up to date, approved and complied with in accordance with best practice.
To maintain all appropriate registers, including declarations of interest and hospitality.
Ensure appropriate legal advice is obtained on any governance and compliance matters and manage relationships with legal advisers.
Support other members of the Senior Management Team in their management of their legal advisers.
To ensure the College has an appropriate panel of legal advisers.
Manage the process for the Annual General Meeting
Qualified as a Company Secretary or equivalent legal qualification
Graduate calibre or equivalent qualifications
Staff management experience
Ability to manage budgets
First-rate organisational skills
Flexibility and ability to work on own initiative
Excellent communication skills (verbal and written), including the ability to draft own correspondence and college documents
Ability to interpret complex written and numerical documents
Ability to deploy project management skills in a range of contexts
Ability to work well as part of a small team and liaise effectively with a range of staff and College members
Ability to maintain accuracy while working to deadlines
Experience of committee support in a professional environment
Good keyboard skills and a working knowledge of MS Office
