The Governance and Business Manager is a vital function and reports directly to the Chair of the Board. The role is to co-ordinate the work of the organisation, facilitate the effective working of the Boards of Trustees and fulfil company secretary duties.
The principal responsibilities of the post are as follows:
Company secretary duties Lodging returns with the appropriate authorities, other than HMRC; maintaining statutory books, registers etc; preparing annual reports etc; obtaining advice for Trustees on legal implications of proposed policies; generally, responsible for compliance with statutory requirements, other than tax.
Servicing sub-committees and boards Organises and prepares agendas and papers for meetings, ensuring that decisions are recorded accurately and promulgated appropriately; eliminates crossed wires between committee decisions; supports committee chairs.
Commissioning of outside consultants Enters into contractual agreements with professional advisers and service suppliers, other than in relation to tax, accounting, auditing, investments and cash management; monitors contractual performance; reviewing arrangements as necessary and advising the Chair and Board on necessary action.
Relationship with the University of Westminster Acts as the first point of contact with UoW at an administrative level, ensuring trustee decisions are communicated to the University where appropriate, in particular in relation to the grant funding programme.
Empowering the board Assisting the chair and deputy chairs in executing their role; supporting trustees; ensuring that board attention is given to maintaining a relevant mix of skills, administering the necessary recruitment; provision of information for decision; ensuring follow up from board/committee decisions.
The successful candidate should be able to demonstrate previous relevant experience in a governance role, ideally within the charity or public sector. Keen attention to detail is crucial as well as strong interpersonal skills.
