Job Description

The successful candidate will be discreet, professional and highly efficient. You will need excellent administrative skills including the ability to draft and amend documents in Word, Excel and PowerPoint.

In addition you will need to demonstrate good verbal and written communication skills, be honest and trustworthy and be comfortable working independently under your own initiative.

You will report to the Chair of Trustees and other Board members as appropriate.

Your role includes; attending Board meetings, preparing agendas, taking meeting minutes, dealing with trustee correspondence and ad-hoc projects relating to the Board.

The Board Secretary will be responsible for:

Ensuring that WDP has in place appropriate policies and systems to deliver sound corporate governance to enable it to comply with its legal, constitutional and regulatory requirements and to manage corporate risk effectively

Acting as lead support for the Chair in the effective functioning of the Board, including ensuring systems are in place for the active management of agreed items and actions

Formulate Board meeting agendas with the Chair and JCEO’s and liaise with the SMT on content, and organisation and timeliness of reports or presentations for Board meetings

Ensuring that all Board meetings are recorded in a timely and appropriate way and ensuring that the minute books are developed and maintained with certified copies of the minutes

Ensuring that all sub-committees and working groups are recorded in a timely and appropriate way.

Any additional duties in support of Board members in the discharge of the duties

It is essential that the successful Board Secretary has:

Advanced and in depth and broad knowledge of corporate legislation and governance agenda

Experience as Board Secretary in a complex organisation

The ability to build excellent relations and influence wide range of internal and external stakeholders and partners
