Role Summary


A key role with the Bobath Centre, which houses two unified Watford-based charities: The Bobath Centre for Children with Cerebral Palsy and the Bobath Centre for Adults with Neurological Disability. The Bobath Centre is a specialist treatment and training charity dedicated to supporting children, adults and families living with cerebral palsy and similar neurological conditions.

The Board Secretary supports the Chair and the Board of Trustees by providing the necessary support to enable the Board to operate effectively and in accordance with good governance.

The role will support the Chair and CEO by ensuring the Board of Trustees conducts itself professionally and effectively in providing sound governance of the charity. It is both an administrative role that involves organising the agenda for trustee meetings, taking minutes and coordinating papers, as well as an advisory and compliance role, ensuring the charities meet the best standards of charitable governance. The Board Secretary will not be a Trustee of the charity.

Main Duties

  • Act as Board Secretary for both Children’s and Adult Charities
  • Support and inform the Trustees in their role, providing advice and guidance on best practice and charity requirements
  • Coordinate the preparation of the agenda for each meeting in consultation with the CEO and Chair
  • Call meetings at the direction of the Chair, and facilitate the collection and distribution of related papers
  • Ensure compliance with all constitutional, legal and regulatory frameworks including those of Companies House and the Charity Commission
  • Enable both Boards of Trustees to fulfil their duties for the proper governance of the two charities
  • Prepare the annual calendar of trustee and related meetings for both boards
  • Take minutes of each Trustee meeting and any extraordinary or committee meetings, providing minutes for review within 7 days.
  • Maintain the register of minutes for the charity
  • Maintain records of Trustee appointments and retirements, advising the Board about upcoming retirements
  • Support the Board in recruiting new Trustees when required
  • Facilitate an annual skills audit in collaboration with the Chair to identify skills needed on the Board
  • Support an annual planning and review process for the Board, in collaboration with the Chair
  • Facilitate and support Trustees in implementing decisions made during meetings
  • To ensure that each charity pursues its objects as defined in the governing documents and applies its resources exclusively to the pursuance of its objects

Risk Management

  • To establish and maintain a risk register in conjunction with the CEO, Senior Managers and Trustees
  • To support the Board in identifying and planning mitigating actions for major risks are identified and implemented across the organisation
  • To support the CEO in managing the Centres’ insurance requirements, ensuring compliance with best practice while obtaining the most economic terms

Skills required

  • Ability to work independently and remotely
  • Ability to provide frank and honest advice
  • Excellent understanding of charitable governance
  • Appropriate qualifications or relevant work experience
  • Exceptional organisational and coordination skills, and the ability to take robust minutes.
