What difference will you make?
The statutory duties of a Non-Executive Director Board member are:
- To ensure that the company complies with its governing documents - Memorandum and Articles of Association.
- To ensure that the company pursues its objectives as defined in its governing document.
- To ensure that the company applies its resources exclusively in pursuance of its objectives - the company must not spend money on activities which are not included in its own objectives, no matter how ‘charitable’ and ‘worthwhile’ those activities are.
- To contribute actively to the Board’s role in giving firm strategic direction to the company, setting overall policy, defining goals and setting targets and evaluating performance against agreed targets.
- To safeguard the reputation and values of the company.
- To ensure the effective and efficient operation and administration of the company.

- To protect and manage the property of the company and to ensure the proper investment of the company’s funds.
- To appoint the Chief Executive Officer and monitor their performance.
- To hold the National Theatre of Scotland, as a registered Charity, “in trust” for current and future beneficiaries by:
- Ensuring that the Charity has a clear vision, mission and strategic direction and is focused on achieving these.
- Being responsible for the performance of the Charity and for its “corporate” behaviour; ensuring that the Charity complies with all legal and regulatory requirements.
- Acting as guardians of the Charity’s assets, both tangible and intangible, taking all due care over their security, deployment and proper application.
- Ensuring that the Charity’s governance is of the highest possible standard.

Ridgegate Home was established in 1946. It is a charitable 23 bed residential care home for the elderly. It is a large, detached period building. The home is administered by a Board of Governors, who have an active role in running the home.
What will you be doing?
We currently have 3 trustee vacancies including Chair and Treasurer. The ideal candidates should have good leadership skills, organisational skills, people management skills and negotiation skills. The board meets 4 times per year to discuss the quarterly accounts, and update on operational and strategic matters. Interim meetings are held as required. Mandate and reputation
Ensure that the charity is properly focussed on its charitable objectives and constitution and operates within the law. The Trustees are responsible for preserving the charity’s good name and reputation.
Strategic Planning
Work with the CEO and the leadership team to plan strategically for the future. Meet at least once a year to review the plan, then update or replace it as circumstances and needs change. The strategic plan is a changing, active document to which all trustees contribute. It is their job to challenge, assess and review the plan before approving the final strategy for the following five years.
Objectives, business plan and budgets
Approve Ferne’s objectives on an annual basis through the business plan and budgets that are submitted at Board meetings.
Risk Identification and Management
Challenge the leadership team to keep effective processes in place to identify potential risks that the charity faces. This risk register is reviewed and updated at each Board meeting.
Management Effectiveness and Succession
Ensure the leadership team is in place and operating effectively and efficiently. The role of Trustees is to question, scrutinise and monitor the leadership team, for which purpose Trustees should have the opportunity to constructively question, test, and challenge leaderships teams views and proposals in the spirit of achieving the charity’s objectives. Although not involved in the regular appointment of new staff, trustees actively recruit and appoint the CEO.
Internal Control and Management Information Systems
Ensure that effective systems exist to protect the organisation, and the necessary management information systems exist to assess and report back the charity’s performance and progress in meeting its objectives.
Accountability
Report back yearly to members, regulatory bodies, associated charities, staff and volunteers, and other stakeholders through the Annual Report, at the Annual general meeting and from time to time through the @Ferne magazine

The cat hub was formed in April 2018 and has rehomed over 1520 cats and kittens since that date. All cats and kittens received into the care of the cat hub are placed in foster homes until they are lucky enough to find their forever homes.

About the Role
The organisation is recruiting a Vice Chair who can support our transformation journey, we have an ambitious and exciting growth plan, which will provide us with long-term sustainability. We aim to attract trustees from different ethnicities, genders, and experiences to reflect the communities we work with.
As Vice Chair, you will grasp the opportunities and challenges that lie ahead with vision and energy, applying your expertise to make a visible and lasting difference to the organisation. This will mean overseeing the organisation, and strategic developments and ensuring sound governance.
You will need to commit to attendance at Board meetings, currently every three months and an additional sub-group meeting, such as finance or marketing each quarter. There may be other demands on your time, especially during this coming year as we transition into a new facility, but these should not exceed on average 2 hours each month. Experience in the sector is not essential as training will be provided and you will be supported with a thorough induction to the responsibilities of a trustee and the organisation.
Specific duties for all charity trustees which are laid down by Charity Law are:
a. A duty of care, to ensure that the charity works in pursuance only of its objects and that it delivers on these.
b. A duty of compliance with all relevant legislation and regulation; and
c. A duty of prudence in respect of the charity’s assets.
ii. The organisation’s Articles of Association set out the composition of the Board of Trustees, how the Trustees are appointed and their powers.
Purpose
1.1. The Board of Trustees is ultimately responsible for the overall conduct of the organisation and all its projects and will conduct its business to ensure that the organisation is:
· financially viable;
· properly governed; and
· properly managed.
1.2. The Board of Trustees will monitor the performance of all its functions and will decide the level of resources to meet its financial and other obligations.

About the Organisation
The organisation was established in 1993 as a charity supporting young people living in the city and county of Nottingham. Starlight is the national charity for children’s play in healthcare. They support children to experience the power of play during treatment, care and recovery from illness in more than 600 healthcare settings across the UK.
Starlight believes that children’s healthcare services should fully reflect the importance of play to their health, wellbeing and resilience and that every child who is an inpatient should have daily play opportunities, appropriate to their condition, supported by dedicated play staff. - 71% of Trusts and Health Boards do not have a designated budget for play resources.

- An average ratio of only one full-time HPS for 3,986 child admissions to hospital per year and there are 1.8 million hospital admissions for 0-17 year olds each year.
Starlight provides toys, technology, toolkits and training for play professionals to alleviate the immediate trauma that children are experiencing in hospitals across the UK. Using their uniquely curated research and evidence base, they also work towards systemic change in healthcare, galvanising a collaborative effort for the changes that are needed through policy and advocacy work.

Starlight’s income needs to grow in pace with demand for its vital role as Champion and Protector of Play. The new Philanthropy Trustee role has been created to support this growth in a collaborative, relational and strategic way. This new Trustee will support the development of collaborative relationships and partnerships with individuals and organisations to grow income. They will bring a passion for Starlight’s work, ideas, introductions and opportunities as well as a contemporary and values-led mindset. We are looking to recruit a Fundraising Volunteer for the Sutton Coldfield and District Group. As our Fundraising Volunteer you’ll support your Group Coordinator to organise local fundraising activities and events throughout the year.
In this role you’ll be able to develop your organisation, communication and team working skills.Most importantly you’ll inspire your local community to raise funds that help make sure no one has to face MS alone.
Time Commitment
We estimate this role will need around 2 hours a week. Our roles are flexible and aim to fit around you. Time commitments for this role may vary depending on your activities. This is an ongoing role.
This is a great opportunity to gain experience within a large charity and develop your existing skills and learn new ones. We need you to get involved and help make positive changes to the lives of people affected by MS.
About you
You’ll have an interest in the MS Society and the work that we do, as well as the enthusiasm to represent both us and our values locally. You will understand the needs of people affected by MS in your area and be sympathetic to the needs and motivations of volunteers. You’ll be confident using Microsoft Office, the internet and email. You’ll be able to apply disability, equality and inclusion practices and understand and apply our risk management system. Ideally you’ll understand the local area and organisations that provide local services.
You will be reliable and easy to contact and you need to live in or near the area the group to carry out this role.
