What will you be doing?
RicNic is a theatre charity (Charity No.: 1158837) working with young people aged 7-25 in various locations across the country. Based in Walsall, we currently deliver work in the West Midlands, East Staffordshire, East Cheshire, Hampshire, and Oxfordshire. Our projects are delivered in schools, community settings and professional theatre venues. Though the projects we run are diverse, they are united in being offered free of charge to our young participants, and in using theatrical arts and skills as a vehicle to become responsible leaders, to grow in confidence, and to develop life-long friendships.
Established by 16-year olds as a holiday project in 2004, RicNic has since grown into a charity reaching with hundreds of young people each year. We now run 4 programmes, with a focus on bringing opportunities to areas of low cultural engagement
The charity is funded through grants from trusts and foundations, donations from individuals, and ticket sales to annual productions. RicNic is run on a by a small staff team (1 FT, 2PT) and is supported by a network of creative industry associates and ambassadors.
RicNic has undergone a period of significant expansion and change in recent years, with exciting developments in our programme offer, beneficiary reach and strategic planning. Due to a long-standing board members reaching the end of their term of office we are now looking to recruit a Company Secretary to join the board.
We are looking for individuals who have a strong interest in RicNic’s work and a passion for supporting young people to achieve their potential. Candidates should possess a positive, ‘can-do’ outlook as well as a good sense of humour. You will be joining us at a pivotal point in our history, with the potential to make a real difference to the young people who engage with us.
The Secretary will
- Liaise with the Chair and Executive Director to schedule quarterly meetings, prepare agendas and relevant papers.
- Act as charity secretary ensuring that charity law and all reporting requirements are complied with.
- Guide the board on any legal implications of RicNic’s strategic plan.
- Act as the custodian for RicNic’s governing documents, insurance policies and operating policies, ensuring that all are revised and renewed at regular intervals.
- Minute board meetings, accurately record discussions and decisions, and circulate action points to all trustees.
Qualities

- Ability to apply knowledge of legal requirements relating to charitable law and associated governance to support RicNic to achieve its aims.
- Ability to use legal knowledge to help to inform RicNic’s strategic plan.
- Ability to take a leading role on the board in ensuring compliance with laws and regulations associated with the delivery of RicNic’s services.

We are looking to recruit a Secretary to the Board of Trustees who can ensure the smooth running of meetings, providing support to the Chair of Trustees. The Secretary will be responsible for legal and regulatory requirements affecting the charity and its projects, ensuring that all submissions to the Charity Commission are made within deadline and that all activities run in line with RicNic’s governing document.

The purpose of the role of Lifelites’ Honorary Secretary will be to create and maintain registers to enable the Trustees to review and update governance, statutory, and regulatory policies and reports, and to file them with external agencies as required. In addition, the role will support Lifelites’ Board of Trustees and Committee meetings, including the preparation of agendas, papers and minute taking.
About you
You are an experienced administrator or company secretary with a highly organised attitude, excellent attention to detail and strong IT skills. You will be passionate about Lifelites’ mission and keen to develop good governance within the charity.
Status
The Honorary Secretary will be a volunteer and not a Trustee. They will have no responsibility for deciding the content of policies and reports but may advise the Trustees on the basis of their knowledge and expertise.
Key responsibilities
- To create registers of all the charity’s governance, statutory, and regulatory policies, procedures, reports, and other documents as and when required.
- To create and oversee a rolling schedule of periodic reviews for each document.
- To inform the Chair, Board of Trustees and Senior Management Team of any changes in governance, legal, statutory, and regulatory and compliance requirements.
- To prepare draft agendas and papers for Board meetings with support from the Chair and CEO.
- To attend Board and Committee meetings, to take minutes and actions and provide relevant advice when required.
- To circulate agendas, papers and minutes of Board and Committee meetings.
- To file statutory and regulatory reports when approved by the Trustees.
Person Specification
- Strong track record and knowledge of charity “good governance”, and statutory and regulatory standards and requirements.
- Willingness and availability to attend a minimum of 4 half day in person Board Meetings and 12 mostly online Committee meetings (2 hours each) per year.
- Flexible and practical approach to work and willingness to travel to meetings (expenses reimbursed).
- Experience of interacting with virtual meeting platforms and other digital communication channels.
- Experience of drafting documents and minute taking.
- Excellent verbal and written communication skills.
- Ability to be flexible and work independently.
- Exceptional administrative skills, highly organised and good attention to detail.
- Able to anticipate issues and bring them to the attention of others.
- Skilled use of MS Office and cloud applications.
- Strong written English and experience of drafting documents and taking minutes.

About the roles.
To continue to provide care and support to patients, families, and carers, to meet the increasing complexity of conditions, need for services, and to deliver new and enhanced complementary supporting services, the Hospice of St Francis needs to think differently to consider where funding comes from.
The Hospice seeks a Chair and Deputy Chair who will continue the excellent work of the charity but also help to achieve their ambition to double the reach of their care and to assure the Hospice is funded sustainably now and for the future.
- Chair of the Board
The Chair is an ambassador and public face of the Hospice in partnership with the Chief Executive. Holding the Board and Chief Executive to account for the Charity’s mission and vision, the Chair will provide inclusive leadership to the Board of Trustees ensuring effective governance of the Charity.
- Deputy Chair of the Board
The Deputy Chair will provide support to the Chair of the Board in leadership and stewardship of the Charity. They will be a sounding board for the Chair and have a key responsibility to build constructive and collegiate relationships with the Chief Executive and the executive team. The role may include additional responsibilities such as Freedom to Speak Up Ambassador, to provide clear and transparent governance.
This is a supportive role working with Committee Chairs and the Trading Company Board to support the development of the charity strategy and in working with the People Governance Committee on succession planning and Trustee recruitment. It may also include undertaking assignments at the request of the Chair.
The Deputy is expected to support the Chair with performance reviews of Trustees to review their contribution to the Board and Committees. The Deputy with Committee Chairs will agree on the appropriate appraisal of the Chair.
The role also includes chairing meetings in the absence of the Chair of the Board and acting as an ambassador for the Hospice, promoting activities and engaging with Key Stakeholders on behalf of the Chair and Chief Executive if required.
Time Commitment
The time commitment for the Chair is anticipated to be around 2 -3 days per month based on time to review, prepare and chair four full board meetings, two away days and the AGM, regular meetings with the Chief Executive and Trustees, ad hoc projects and discussions with Stakeholders and potential partners and funders, visiting hospice and retail sites and attend events.
The Deputy Chair is likely to give up to 2 days per month based on attending four full board meetings, two away days and the AGM, ad hoc projects, visiting hospice and retail sites, attending events and serving as a member of up to two Committees.

Role: Chair, Share Community

Sounddelivery Media is a dynamic charity tackling injustice and inequality. We’re looking to strengthen our board by recruiting new Trustees to take us into the next stage of our development as an organisation.
Sounddelivery Media works alongside people with direct experience of social injustice and inequality to advocate for themselves and their communities publicly by providing training, support and media matches, media meet ups and media opportunities. About our Board of Trustees
Our trustees are volunteers who offer their time, knowledge and experience to oversee and guide the charity and its work. They also make sure Sounddelivery Media is financially sustainable, is run efficiently and professionally and operates within charitable law.
The Sounddelivery Media board meets at least four times a year. These meetings are sometimes face to face but mostly remote. Trustees are appointed for an initial three-year period; and may then be re-appointed for a further three years.
We can arrange training, mentoring and support for new trustees – no previous governance experience is required. As well as skills and experience, we want to hear from candidates who also have the passion, commitment, interest and enthusiasm to fulfil this vital role.

Debt Justice is looking for a Treasurer to support our board to meet our financial responsibilities. Debt Justice is a UK based campaigning organisation that challenges poverty and inequality caused by unjust debt. In solidarity with global allies, we actively challenge the way that debt is used to sustain colonialism and exploitation in the global economy. The Operations Assistant supports the Chair with all administration to enable Hidayah to function smoothly. Responsibilities include, but aren’t limited to:
- Providing administrative support to the Chair including scheduling meetings, managing calendars and responding to emails
- Creating process flows to enable service delivery and monitor progress
- Preparing meeting agendas, taking notes and sharing meeting minutes
- Maintaining accurate and up-to-date records and databases including documents on the Google Drive
- Aiding in the planning and execution of all operational projects and initiatives
- Preparing reports, presentations, and documentation as needed e.g., for annual reports
- Responding to inquiries and providing information to internal and external stakeholders
- Performing other duties and tasks as assigned by the Chair
How much time is required?
We are flexible around your schedule but we anticipate that the role will require around 4 hours per week. The following commitments are in place for all Hidayah volunteers:
- Aim to attend all relevant meetings, delivering a comprehensive report with updates and to complete actions as and when they appear
- Aim to attend all other planning meetings as necessary
- Attend Hidayah events (where geographically possible)
- Help to fundraise for, and advertise, any Hidayah events and fundraising drives
- Add to and maintain the administration of our file sharing system ‘Google Drive’ to ensure it’s up to date with clear records, templates and forms
- Check and respond to emails in a timely manner
- Contribute to the communications group (via Discord) and stay up to date with Hidayah developments
- Provide information, statements and data for the annual report
- Keep up to date with Hidayah communication and organisational developments
This role is subject to a 6 months probationary period with a 2 month notice period should you wish to resign.

The Compliance and Secretary Trustee manages the administrative duties of Hidayah. They fall into three main categories; Membership Administration, GDPR and Compliance Governance. Duties include, but aren’t limited to:
Membership Administration:
- Maintaining Hidayah’s membership database
- Gathering data relating to Hidayah events and activities to feed into the annual report and publicity documents (for example, surveys, excel spreadsheets and graphs, case studies)
- Effectively communicate updates to Hidayah members via CRM systems
- Promoting events in conjunction with the Communication & Marketing Trustee
- Evaluating, managing and continually improve the Hidayah membership experience (managing the end-to-end cycle)
- Regularly check, maintain and update Hidayah’s administration and data handling systems such as using Google Drive to store information
GDPR:
- Reviewing and keep all Hidayah policies updated in accordance to legal requirements and Charity Commission guidelines
- Ensuring that Hidayah membership records are GDPR compliant
- Updating trustees on any changes to the Charity Commission guidelines
- Where necessary, assisting the HR Officer in gathering relevant data on volunteers
- Supporting the HR Officer in creating flowcharts and processes in line with current legislation
Compliance Governance:
- Supporting Hidayah Trustees with compliance specific queries for finance, volunteers and membership
- Maintaining records and registers for auditing purposes
- Regularly auditing policies to determine risk involved and finding mitigating strategies
- Coordinating with the Deputy Chair to ensure that trustees are compliant with policies and procedures

Travel expenses directly incurred in our roles as Trustees on official business can be reimbursed. Board and Committee meetings are held in person or remotely with in person meetings normally held in London.
Trustees are appointed for an initial three-year term with the opportunity to extend for a further two, three-year periods.
The time commitment is to attend 4 Board meetings a year plus relevant committee meetings. There are always opportunities to become more involved with specific projects, and trustees are strongly encouraged to attend at least 1 Willow fundraising event each year.
Specifics about the role
Willow seeks to appoint 2 new Board members as part of our succession planning. We are keen to hear from candidates who have skills or expertise in the following or similar areas:
- Worked as a senior fundraiser in a charity with a range of public fundraising methods, and are used to setting targets and reviewing the effectiveness of different streams of income. At Willow, you will help to scrutinise and enhance our fundraising strategy and may have experience of data insight and interrogation;
- Served on, or supported a range of charity boards and are familiar with charity regulation, including the Charity Commission, HMRC and the Fundraising Regulator. We anticipate that you will join Willow’s governance committee and perhaps serve as a future Chair or Deputy Chair
- A Senior Leader (CEO, Executive Director, Fundraising Director) from the Charity sector, with particular expertise in fundraising and the use of technology to engage supporters
You will be joining a dedicated team of Trustees. We currently have 10 board members with a variety of backgrounds and experience including finance, investments, fundraising, PR and communications, management consultancy, events, and legal. Our trustees work closely with the Chief Executive, leadership team and senior members of the team.
