Role Summary

As a Governance Officer, you will work closely with the Governance Lead to ensure strong governance practices across Roots Academy. Your role will focus on supporting governance frameworks, policies, and compliance measures to align with charity governance requirements and relevant regulations. You will also play a key role in embedding a culture of governance across the organisation.

Key tasks

Trustee Support

• Assist trustees with governance-related tasks and ensure they have access to relevant policies, guidelines, and resources.
• Direct trustees to appropriate regulatory frameworks, best practices, and governance training materials.

Governance & Compliance Support

• Support the onboarding process for new trustees, ensuring all necessary documentation is collected and securely stored.
• Assist in coordinating trustee meetings, including preparation of agendas, accurate minute-taking, and document distribution.
• Maintain key governance registers, such as the register of interests, policy register, and risk register, ensuring timely updates and compliance.

Policy & Risk Management

• Support the Governance Lead in developing and reviewing governance policies, including Conflict of Interest, Risk Management, and Whistleblowing Policies.
• Assist team leads in ensuring policies are implemented effectively and aligned with best practices.
• Help monitor compliance with Charity Commission regulations and the Fundraising Code of Conduct.

Embedding a Governance Culture

• Assist in raising awareness of governance principles across the organisation.
• Support the Governance Lead in organising training sessions or briefings on governance best practices.
• Help integrate governance principles into the organisation’s operations and decision-making processes.

Charity Trustee

You and Me Counselling are currently recruiting volunteer trustees to complement the committee members already in their role.

This is a home working role and will be for immediate start.

Our charity

You and Me Counselling is a charitable organisation established in 2011. We are a counselling and psychotherapy service based in Hornchurch, Essex that works with children, young people, adults, and their families in the boroughs of Havering, Barking & Dagenham, Redbridge, and Waltham Forest. Our counsellors and therapists work both within schools and from our counselling rooms located in Hornchurch and Ilford.

You and Me Counselling are an organisational member of the British Association for Counselling & Psychotherapy (BACP). This means we are fully governed by the BACP’s Ethical Framework for the Counselling Professions.

Job Description

As a trustee you will need to:

• Acknowledge emails at least once a day.
• Give a minimum of one hour per week to the role.
• Attend quarterly trustee meetings online.
• Ensure that You and Me Counselling pursues its stated objectives
• Ensure there is regular review of changes that might affect the organisation (political, financial, demographic, etc.)
• Ensure that the charity complies with charity law, company law and any other relevant legislation or regulations.
• Monitor finance to ensure that the charity applies its resources exclusively for its charitable objectives.
• Uphold the good name and values of You and Me Counselling.
• Ensure the effective and efficient administration of the organisation, including having appropriate policies and procedures in place.
• Ensure the financial stability of the organisation.
• Supervise, support and appraise the chief executive officer.
• Hold the chief executive officer to account for the management and administration of the charity.
• Ensure that the organisation acts in accordance with employment law and exercises a duty of care to its employees.
• Identify major risks to the organisation and put systems in place to mitigate or minimise the risks.
• Ensure that the organisation has a governance structure that is appropriate to a charity of its size/complexity, stage of development, and its charitable objectives
• Regularly review your own training needs and create an expectation of continuous professional development throughout the organisation.
• Ensure that trustees have an agreed code of conduct and comply with it, and that there are mechanisms for the removal of trustees who do not abide by the principles stated therein.

• A parent of a young person who has experience of mental health issues

About Us: 

Evolve Counselling is a long-established charitable social enterprise, providing low cost, affordable or funded mental health counselling to adults in mainly Cambridgeshire and surrounding counties. Our counselling community is made up of 50 – 60 qualified self-employed practitioners, working part-time. We deliver talking therapies to adults – online and in person. Our service delivers around 500 counselling sessions per month to a broad range of individuals, many of whom would not otherwise be able to access counselling support. Evolve also provides supervision, reflective practice, critical incident support, and mental health awareness and related training, to organisations and businesses large and small.

Our Trustee Board is currently drawn from the counselling and therapies community, plus commercial and other charity backgrounds. Now, with crucial development of the CIO ahead, we are looking for new members to expand the Board to its maximum ten places and to gain skills and insight from an equal, diverse and inclusive group that takes in business skills, knowledge of charities, and experience of not-for-profit finances to make growth plans a reality. 

The Board will keep us on track with good governance through oversight of our work and will also help our keen new CEO to secure a sound financial base from which to grow our operations to meet the ever-increasing demand for our services.

Role Overview:

The Chair will ensure that the board functions effectively, maintains high standards of governance, and that the charity's mission and goals are achieved.

Key Responsibilities:

1. Board Leadership:

   • Lead the board in setting and implementing the charity’s culture, direction, and strategy.

   • Ensure the board operates inclusively and effectively.

   • Chair board meetings, ensuring decisions are made and actions are followed up.

2. Strategic Direction:

   • Guide the development and implementation of the charity’s strategic plan.

3. Oversight and Accountability:

   • Monitor the charity’s activities and ensure high standards of governance.

4. Close Supervision:

   • Ensure that all members of staff have adequate line management and supervision (not necessarily by the Chair as this may be allocated to another trustee).

   • Act as the primary point of communication between the board and the staff.

5. Direct Involvement:

   • Take a hands-on approach to day-to-day operations, as necessary.

   • Assist in tasks typically handled by additional staff due to the charity’s limited resources.

6. Enhanced Communication:

   • Ensure clear and consistent messaging between the board and the staff member.

7. Financial Oversight:

   • Oversee the charity’s finances, possibly taking on some treasurer responsibilities (currently the board has an appointed treasurer and an honorary accountant).

   • Ensure the charity operates within its financial means.

8. Volunteer Coordination:

We are a registered charity based in York. We primarily operate in North Yorkshire and York although some of our services are accessed by organisations working further afield.

About the Role

All Trustee positions are voluntary with reasonable expenses remunerated. To be an effective Trustee, you will need to commit up to 1-2 days per quarter to attend and prepare for board meetings which are held virtually.

Effective Trustees support our work by:

• ensuring we are working towards our vision, mission and values in everything we do
• ensuring the effective and efficient use of resources, maintaining proper financial and regulatory oversight and best practice as a charity

Who is Open Road?

We are a UK healthcare charity, now in our 34th year.  We provide a myriad of services in Essex and Medway; drug and alcohol support, homelessness services, domestic abuse support, criminal justice services, employment support, welfare and community initiatives to promote community safety and combat anti-social behaviour.  We help vulnerable people, young and old, throughout Essex and Medway, and work in the heart of local communities.  We are not a large national faceless charity; we are very much a grassroots organisation.  We fully embrace and utilise our local knowledge and expertise, working with likeminded partners to support as many people as possible to have healthier, happier lives in the heart of their families and communities.

How Do Open Road’s Trustees Support The Charity?

The role of the Trustee is to assist in advancing the purpose of the organisation; developing its aims and goals, keeping within its charitable objectives and acting in its best interests. The board members ensure that the charity is run in accordance with its governing document, charity law, and any other laws and regulations which affect its activities.

Our Trustee Board are responsible for developing strategy, providing governance, and directing the charity towards achieving its mission.  We are looking to appoint two new trustees – the first being from the building and maintenance sector – with the experience and knowledge to support the health and safety responsibilities of a growing charity, and the second being a HR professional who will chair our Personnel Sub Committee with special responsibility for oversight of the organisation’s HR function and strategy, ideally you will be a Chartered Member or Fellow of the CIPD with substantial experience at a Senior/Director HR professional level with a thorough understanding of operational HR policy and practice.

An understanding of the role of charity boards and their responsibilities and operation, gained through previous experience would be helpful, and above all else you will be intrinsically values-driven and committed to enabling more individuals we support to live their lives to the full.

TERMS OF APPOINTMENT – Charity Trustee

REMUNERATION:

• This role is unremunerated and offered on a voluntary basis.
• Trustees are encouraged to visit services that are local to them.
• Travel and accommodation expenses are reimbursed for meetings & visits.

 TIME COMMITMENT:

• The time commitment is at least one day a month.
• There are six board meetings a year and this includes an annual strategy setting day.
• Board meetings are held in person in Central London.
• All trustees are expected to participate on at least one committee and there are four committee meetings a year.
• Committee meetings are held in person/virtually.

Key responsibilities:

• To take part in formulating and regularly reviewing the strategic aims of the

By joining the Board, a trustee contributes to the strategic direction and governance of a grassroots charity that delivers vital services — from addiction recovery and homelessness support to domestic abuse intervention and community safety.

Specifically, a trustee will:

• Strengthen Governance and Strategy: By bringing sector-specific expertise (in HR or building/maintenance), trustees will help shape policies and decisions that ensure Open Road remains safe, compliant, and forward-thinking.
• Enhance Operational Excellence: Trustees provide oversight and guidance that directly influence the quality and sustainability of services, ensuring the charity continues to meet the complex needs of its clients.
• Champion the Mission: Trustees act as ambassadors for Open Road’s values, helping to build partnerships, raise awareness, and advocate for those the charity supports.
• Support Leadership and Staff: Through committee work and strategic planning, trustees offer critical support to the executive team, helping to foster a positive, values-driven culture within the organisation.

Ultimately, the impact of a trustee is measured not just in governance, but in the healthier, safer, and more hopeful lives of the people Open Road serves.

The difference you will make to cats and people

As a charity we are able to help thousands of cats each year thanks to the generous donations we receive from members of the public. Our fundraising team leaders have the exciting and varied role of inspiring our fundraising volunteers to plan and deliver local fundraising events. Using their passion and imagination, they oversee a small team of fundraising volunteers who come together to raise the vital funds needed to cover costs such as veterinary bills and food. Our fundraising team leaders support their team of volunteers in all aspects of their roles, making sure our volunteers are happy, confident and supported.

What we need from you

You’ll be:

· supporting and encouraging a team of fundraising volunteers

· planning fundraising events and activities with your team

· allocating tasks before and during fundraising events

· keeping financial records from fundraising events

· encouraging and promoting a professional image of Cats Protection 

· following policies and guidelines and ensuring licences and permits are obtained for events

Time expectation

Our fundraising team leaders usually spend three to four hours per week in this role, which is flexible and can be shared by more than one volunteer if needed.
