How Do Open Road’s Trustees Support The Charity?

The role of the Trustee is to assist in advancing the purpose of the organisation; developing its aims and goals, keeping within its charitable objectives and acting in its best interests. The board members ensure that the charity is run in accordance with its governing document, charity law, and any other laws and regulations which affect its activities.

Our Trustee Board are responsible for developing strategy, providing governance, and directing the charity towards achieving its mission.  We are looking to appoint two new trustees – the first being from the building and maintenance sector – with the experience and knowledge to support the health and safety responsibilities of a growing charity, and the second being a HR professional who will chair our Personnel Sub Committee with special responsibility for oversight of the organisation’s HR function and strategy, ideally you will be a Chartered Member or Fellow of the CIPD with substantial experience at a Senior/Director HR professional level with a thorough understanding of operational HR policy and practice.

An understanding of the role of charity boards and their responsibilities and operation, gained through previous experience would be helpful, and above all else you will be intrinsically values-driven and committed to enabling more individuals we support to live their lives to the full.

TERMS OF APPOINTMENT – Charity Trustee

REMUNERATION:

• This role is unremunerated and offered on a voluntary basis.
• Trustees are encouraged to visit services that are local to them.
• Travel and accommodation expenses are reimbursed for meetings & visits.

 TIME COMMITMENT:

• The time commitment is at least one day a month.
• There are six board meetings a year and this includes an annual strategy setting day.
• Board meetings are held in person in Central London.
• All trustees are expected to participate on at least one committee and there are four committee meetings a year.
• Committee meetings are held in person/virtually.

Key responsibilities:

• To take part in formulating and regularly reviewing the strategic aims of the
• organisation.
• Working with other trustees to ensure that the policy and practices of the organisation
• are in keeping with its aims.

• Support Leadership and Staff: Through committee work and strategic planning, trustees offer critical support to the executive team, helping to foster a positive, values-driven culture within the organisation.

We know a lot of people have had negative learning experiences in the past, so our programme is designed to be different, with no exams and no classrooms. Our unique, evidence-based Turning Pages reading manuals and Count Me In numeracy manuals are used by thousands of learners in prisons and the community to improve reading and numeracy skills. 

Prison volunteers live near to their local prison so that they can visit about once a month during the working week to nurture the growth of the Shannon Trust in their prison. They help unlock the power of reading by offering advice, guidance, training and support to prison staff and prisoner mentors who help other prisoners to improve their skills 1 to 1.

We are looking for volunteers who are able to give a regular, reliable commitment for ideally two years and able to deliver engaging training to groups of people in prisons. Volunteers do not need to be teachers or qualified traininers, full training will be given. Due to the nature of the role, prison security vetting will be required.

We provide training for the role via e-learning and 4 training sessions which are a mix of live, online and group training.

Join our amazing volunteer team to raise awareness of the issues affecting blind and partially sighted people in relation to sport. You will give talks in person or virtually, sharing your own story to improve understanding of sight loss to sports clubs, sporting venues and facilities and community groups. You’ll be making a real difference to people living with sight loss by helping to improve accessibility and inclusivity, creating a sporting world without barriers.

What you’ll be doing
1. Talks to sports and physical activity providers to support and encourage them to consider the needs of blind and partially sighted people by sharing your story to audiences, for example, local leisure centres, sporting venues and sports clubs.
2. Delivering talks to raise awareness of existing sporting and physical activity opportunities for blind and partially sighted people.
3. Representing RNIB as an Ambassador for the Community Connection service.

About the Respond Treasurer role

This is an exciting opportunity to volunteer in a vital governance role at Respond: the Treasurer maintains an overview of the charity’s financial affairs, ensuring effective and appropriate financial measures, controls and procedures are in place.

As a member of the Board of Trustees, the Treasurer also supports good governance, helping set the strategic direction of the charity for the years to come.

The role would suit a qualified accountant with some knowledge of charity accounting and the ability to communicate financial information to the wider board in a clear and accessible way.

Respond is a national charity supporting people with learning disabilities and autistic people who have experienced abuse, violence or trauma. Respond offers psychotherapy and advocacy support and provides specialist trauma informed training for services.

The Hunger Project is a global not-for-profit, founded in 1977. The Opportunity

We are seeking a highly organised and experienced volunteer Company Secretary to play a crucial role in the effective governance and compliance of our charity. This is an exciting opportunity to contribute your expertise to a cause you care about, working closely with our CEO, Chairpersons, and Board of Trustees to ensure we meet all statutory and regulatory requirements. The Company Secretary should also be available to provide a central source of guidance and advice within THP-UK on matters of charity ethics, company law and good governance. 

Key Responsibilities

Board Meetings & Support

• Collaborate with the Chair and CEO to prepare agendas and forward plans for Board meetings.
• Circulate papers and documentation in advance of meetings.
• Attend all Board meetings (typically quarterly), ensuring meetings are properly constituted (e.g. quorum present, aligned with Articles of Association).
• Accurately minute proceedings, record decisions and actions, and circulate minutes promptly.
• Maintain records of attendance and track follow-up on agreed actions. 

Statutory & Regulatory Compliance

• Ensure timely filing of statutory returns with Companies House and the Charity Commission, including:
  • Annual confirmation statements and annual returns.
  • Updates to trustees, registered address, and governing documents.
  • Submission of trustees' report and audited accounts (in collaboration with auditors).
• Keep an organised archive of governance documents, policies, minutes, and resolutions.
• Act as point of contact for formal correspondence from Companies House and the Charity Commission.

Corporate & Charity Governance

• Advise the Board on legal and regulatory requirements, charity ethics, and corporate governance best practices.
• Keep up to date with statutory requirements and best practice for good corporate and charity governance and inform the Board as appropriate.
• Maintain all statutory registers.
• Conduct reviews of policies for clarity, compliance, and role-specific responsibilities.
• Assist in reviewing and submitting governance-related policies for Board approval (e.g., safeguarding, conflict of interest).
• Maintain a policy review schedule and ensure timely updates.

Trustee Support & Onboarding

• Support the Chair in maintaining an up-to-date Board Handbook and policies.
• Assist with onboarding of new trustees by providing induction packs and key governance documents.
• Signpost training opportunities and updates to ensure trustees are well-informed of their responsibilities.

Person Specification

Essential

• Proven experience in company secretarial, governance, legal, or high-level administrative roles.
• In-depth knowledge of UK charity and company law, including Charity Commission and Companies House requirements.
• Excellent organisational skills and attention to detail.
• Strong communication skills with the ability to draft clear, concise minutes and reports.
• Proficiency in Microsoft Office Suite, Dropbox and virtual meeting tools.
• Ability to work independently, flexibly, and to deadlines.
• Alignment with the mission, vision, and values of The Hunger Project.
• High level of integrity and discretion.

Desirable

• Experience volunteering in the non-profit or charity sector.
• Familiarity with charitable companies limited by guarantee.

Time Commitment & Location

As a volunteer for THP-UK, you would play a vital part in our work. You will be home-based with attendance at in-person Board meetings every quarter in West London or Central London. We expect the work will entail approx. 8–10 hours per month, varying around quarterly Board meetings.
