Job Summary
The Assistant Company Secretary plays a key role in supporting the Company Secretary, Director of Governance and Board of Trustees at the heart of St John Ambulance’s governance arrangements. The role provides high-quality company secretarial and governance support, helping to ensure that St John meets its legal, regulatory and governance responsibilities while enabling the Board and its Committees to operate effectively.
You will work closely with senior executives, trustees and colleagues across the organisation, providing trusted advice and support on governance matters, managing key processes and contributing to the continuous improvement of our governance frameworks.
About You
We are looking for an experienced and professional individual with a background in company secretarial, governance or a similar environment. The successful candidate will have a strong understanding of governance principles and charity law, be confident working with senior leaders and trustees, and possess excellent organisational and communication skills. You will be able to manage competing priorities, handle sensitive information with discretion, build trusted relationships across a range of stakeholders, and thrive in a collaborative, fast-paced and evolving environment.
About the Role
In this role, you will:
·Provide high-quality company secretarial and governance support to the Company Secretary, Director of Governance, Board of Trustees and Committees.
·Support the organisation in meeting its constitutional, legal, regulatory and statutory obligations, including charity law and statutory returns.
·Coordinate effective Board and Committee administration, ensuring meetings, papers, minutes and actions are managed to a high standard.
·Provide advice and guidance on governance matters to senior stakeholders and colleagues across St John Ambulance.
·Lead and support planned and ad-hoc governance projects and workstreams, responding effectively to changing priorities.
·Build strong working relationships with trustees, senior executives, internal teams and external partners.
·Identify opportunities to improve governance processes, systems and ways of working across the organisation.
·Manage competing demands and sensitive information with discretion, professionalism and a strong attention to detail.

You’ll join Marie Curie’s Legal & Governance team that provides governance, company secretarial, legal and compliance support to help ensure Marie Curie and its subsidiary operate effectively and in line with their statutory and regulatory responsibilities. You’ll work closely with Trustees, Independent Committee Members, the Executive Leadership Team, auditors and colleagues across the organisation.
As Assistant Company Secretary, you’ll play a key role in making sure Marie Curie’s governance runs smoothly and effectively. You’ll be at the centre of Board and Committee activity, ensuring meetings are well organised, papers are accurate and decisions and actions are properly recorded and followed up. You’ll also support the charity in meeting its legal, regulatory and governance obligations, while providing practical advice and helping embed effective governance processes across the organisation.
This is a hands-on role in an environment where priorities and processes can evolve, so we’re looking for someone who combines strong governance knowledge with excellent organisation, sound judgement and the flexibility to adapt.
Your Impact:
- Provide high-quality secretariat support to the Trustee Board and management committees, including preparing agendas and meeting papers, taking accurate minutes and tracking actions.
- Coordinate the logistics and administration of Board, Committee and other stakeholder meetings and events.
- Work with the Company Secretariat to ensure organisational activities and decisions comply with the charity’s Articles of Association, delegated authorities and relevant legislation and regulation.
- Prepare and submit accurate and timely filings, returns and other documentation to Companies House, the Charity Commission and other relevant bodies.
- Maintain statutory registers, corporate records and the annual governance calendar.
- Support the onboarding, induction and training of new Trustees and Committee members.
- Provide pragmatic governance, compliance and regulatory advice and support to colleagues across the organisation.
- Build trusted relationships with Trustees, Independent Committee Members, the Executive Leadership Team and auditors.
- Support the embedding and continuous improvement of governance processes, policies and procedures.
Key Requirements:
- Relevant professional qualification, such as the Chartered Governance Qualifying Programme (full or part-qualified) or Level 4 Certificate in Charity Law and Governance.
- Degree-level education or equivalent experience.
- Experience working in a governance role within a charity or similarly complex organisation.
- Good understanding of charity governance frameworks and the relationship between Boards and Committees.
- Experience supporting the governance of complex organisations and providing governance advice to senior stakeholders or equivalent.
- Excellent administrative and organisational skills, with the ability to manage tight deadlines and competing priorities.
- Strong written communication skills, with the ability to produce clear, concise and accurate papers and documentation.
- Sound judgement and discretion when handling sensitive information.
- Confidence building effective relationships with senior and diverse stakeholders.
- Ability to work flexibly and adapt as processes, priorities and organisational needs change.
- Strong commitment to maintaining high professional standards and keeping up to date with developments in charity governance.
