The Board of Trustees has ultimate responsibility for the sound governance of the organisation.
Specifically its role is:
● To agree overall direction and strategic plans, and to monitor, at a summary level, progress
against these
● To oversee the finances - to ensure they are being well managed and we are in sound financial
health
● Specifically to take particular interest in our fundraising strategy and performance
● To oversee our compliance with all legislation, e.g. on Child Safeguarding or Health and Safety as

The trustees meet formally for a Trustee meeting about once a quarter, usually for 2.5 hours after the
normal working day. Each trustee is expected to play their part as a member of the Board, providing

● From time to time and as appropriate, attending other Grounded Sounds events (e.g. end of
project showcase events, House Band performances, advisory board meetings) in order to gain a

About the role
The Chapter body is the custodian of the Cathedral and its precincts, and we are dedicated to the care and conservation of these wonderful assets, so they may enrich lives for centuries to come.
As a non-executive member of Chapter and trustee, your role will be critical to the leadership of the Cathedral.
As a member of Cathedral Chapter, the Chair of the Finance Committee will work strategically to support Chapter in ensuring good financial oversight and will work closely with the Chief Operating Officer and Chief Finance Officer to enable the effective financial management of the Cathedral. This will include developing a financial plan to align with any revised strategy, overseeing effective governance, budget planning, information management and reporting. In addition, this role has oversight of the Cathedral’s investment portfolio.
The Chapter is the Board of Trustees for the Cathedral, a registered charity, and has the ultimate responsibility for directing and overseeing its affairs – as a place of worship and a community of service, as a significant building and a heritage site of remarkable beauty, as a venue for events and as a globally recognised destination for pilgrims and visitors.
Members of Chapter come from a variety of backgrounds and seek to work collegially in their leadership and responsibilities as they take forward the ministry and mission of a Cathedral which has been servicing Wells and the County of Somerset for almost 850 years.
The objects of the Chapter are:
a) to advance the Christian religion in accordance with the faith and practice of the Church of England, in particular by furthering the mission of the Church of England;

Who we are looking for
With considerable background in finance as either an executive leader or leader of a specialist finance function, the next Chair of the Finance Committee and Chapter Member will be committed to working with the other members of Chapter as they develop the strategy and plans to bring the mission and vision of the Cathedral to life.
They will understand the role of good governance and shared leadership in a complex organisation and will be able to contribute to the wider agenda of the Cathedral as well as lead on finance.

The ability to untangle complex figures and interpret them to others who may not be financially minded is key in this role. Non-executive members of Chapter will be communicant members of the Church of England, or of a church with which it is in communion. International Students House (the ‘House’ or ’ISH’) is one of the leading charities providing support and accommodation for international and UK undergraduate and postgraduate students, singles, couples and families, from over 85 nations studying at over 32 higher education degree awarding institutions. It is one of the most diverse student residential communities in the UK. The charity currently has over 350 students in residence in Regent’s Park and Balham and has plans to expand. The ethos of the House is to create ‘a home away from home’ for students from all around the globe. Its main activities are the provision of scholarships, affordable housing, social activities and welfare support. To fund its charitable activities, the House manages a bar, a meetings & events operation, and a public entertainment business with a modern, medium-sized central London venue, 229.
The House is completely independent and receives no government or local authority funding. Overall income last year (2021-22) was circa £6 million, and the charity has physical assets of around £100 million and a substantial investment fund. The House employs around 90 employees from 35 different home nations. ISH is looking for one or two trustees to join the Board of Governors (the “ Board”). We are looking for individuals who have experience in the private, public or charitable sector and who can bring their entrepreneurial, management and governance skills to assist the charity in delivering its mission. Governance
The Board has a maximum of 12 Governors (“Trustees”). The Board is responsible for:

- Overall good governance and ensuring full regulatory compliance.

Role of a Trustee
The statutory duties of a trustee are to:
- Work with fellow Board members and SMT in setting the Charity’s strategic aims, ensuring that the necessary financial and other resources are in place for ISH to meet its objectives and review performance management.
- Provide leadership to the Charity within a framework of prudent and effective controls, which enable risks to be assessed and managed.
- Comply with its governing document, charity law, company law and all other relevant law, legislation and/or regulations;
- Pursue its objectives as defined in its governing document;
- Use its resources exclusively in pursuance of its objectives, and in doing so fulfils its purpose for the benefit of the public;

Person Specification
International Students House intends to recruit trustees who will also be members of appropriate sub–committees and who may be prepared to occupy the posts of Chair and Vice Chair in the future.
The successful candidates may come from a wide range of backgrounds and especially welcomed would be individuals with experience and knowledge of marketing, finance/accounting, or IT/digital. They will be able to provide a range of skills and experience, from the following areas:

Vice-Chair

The Vice-Chair is also an ambassador for the charity and may deputise for the Chair of Trustees as and when necessary.

Role Description
We are looking to appoint an Honorary Treasurer who will bring new energy, new ideas, new perspectives, and challenge to enhance our financial management and development as a charity.

Role Overview
We are a small charity and handle a moderate number of transactions each month using an online accounts package (Xero). We have an online bookings system handled through our website and online payments system (STRIPE). Book-keeping is managed in house by the Business Manager. Monthly payments approval would be required, supporting the preparation of quarterly management accounts. More input in March and April for preparation of the year end accounts and additional support in January - February would be welcomed to develop budgets, templates and invoice codes for the coming year.
Routinely, we look to our Treasurer for:
Monthly - Approval of online payments, review of management accounts and reserves, monitoring cash flow
Quarterly - Preparation of board reports (quarterly management accounts), review of reserves, preparation of latest estimate
Annually - Preparation of annual budget and draft accounts for independent review
On a Project Basis - Supporting our Director and Business Manager with financial aspects of bids and applications – project budgets, customised spreadsheets and assisting with reporting templates and coding of invoices (as new projects start)
Our financial year runs from 1st April – 31st March with the reporting deadline of 31st December.
