The Opportunity

We are seeking a highly organised and experienced volunteer Company Secretary to play a crucial role in the effective governance and compliance of our charity. This is an exciting opportunity to contribute your expertise to a cause you care about, working closely with our CEO, Chairpersons, and Board of Trustees to ensure we meet all statutory and regulatory requirements. The Company Secretary should also be available to provide a central source of guidance and advice within THP-UK on matters of charity ethics, company law and good governance. 

Key Responsibilities

Board Meetings & Support

• Collaborate with the Chair and CEO to prepare agendas and forward plans for Board meetings.
• Circulate papers and documentation in advance of meetings.
• Attend all Board meetings (typically quarterly), ensuring meetings are properly constituted (e.g. quorum present, aligned with Articles of Association).
• Accurately minute proceedings, record decisions and actions, and circulate minutes promptly.
• Maintain records of attendance and track follow-up on agreed actions. 

Statutory & Regulatory Compliance

• Ensure timely filing of statutory returns with Companies House and the Charity Commission, including:
  • Annual confirmation statements and annual returns.
  • Updates to trustees, registered address, and governing documents.
  • Submission of trustees' report and audited accounts (in collaboration with auditors).
• Keep an organised archive of governance documents, policies, minutes, and resolutions.
• Act as point of contact for formal correspondence from Companies House and the Charity Commission.

Corporate & Charity Governance

• Advise the Board on legal and regulatory requirements, charity ethics, and corporate governance best practices.
• Keep up to date with statutory requirements and best practice for good corporate and charity governance and inform the Board as appropriate.
• Maintain all statutory registers.
• Conduct reviews of policies for clarity, compliance, and role-specific responsibilities.
• Assist in reviewing and submitting governance-related policies for Board approval (e.g., safeguarding, conflict of interest).
• Maintain a policy review schedule and ensure timely updates.

Trustee Support & Onboarding

• Support the Chair in maintaining an up-to-date Board Handbook and policies.
• Assist with onboarding of new trustees by providing induction packs and key governance documents.
• Signpost training opportunities and updates to ensure trustees are well-informed of their responsibilities.

• Proven experience in company secretarial, governance, legal, or high-level administrative roles.

Time Commitment & Location

As a volunteer for THP-UK, you would play a vital part in our work. You will be home-based with attendance at in-person Board meetings every quarter in West London or Central London. We expect the work will entail approx. 8–10 hours per month, varying around quarterly Board meetings.

We are seeking four additional experienced professionals to join our warm and welcoming Board of Trustees as we look to grow and expand.

What will you be doing?

Our charity is forming as the National Health Service seeks closer integration of services and tighter cooperation between health, local government, local businesses and communities and the voluntary and charitable sector. In our Northwest London patch we are positioning as a voice for the sector, able to respond to, to challenge, to coordinate and partner with the integrated care board. We stand ready to bring to the table projects and streams of voluntary work, acting as a sort of business manager on behalf of community groups and a co-strategist alongside NHS trusts and councils.

This will be an exciting time to join our dynamic and collaborative board as we support the delivery of a broad range of Health and Wellbeing services across North West London. We are seeking four additional experienced professionals to join our warm and welcoming Board of Trustees, bringing expertise in one or more of the following areas:

•  Procurement and Contract Management, 
• Human Resources, and 
• Governance

What we need, above all, are people interested in London, perhaps living, working or having some knowledge of the boroughs that make up the Northwest of the capital. You will have senior-level experience in either Human Resources, Procurement, or Governance within the public, private, or voluntary sector. 

You will bring experience of health, business, education, charitable work that informs your wide vision of the causes of ill health, the wellbeing of populations and future patterns of social care – along side the resilience of people and communities, their drive and optimism.

Role Overview

We are seeking a dynamic and experienced individual to join our Board of Trustees as the Chair. The Chair will lead the Board in ensuring the effective governance of the charity, providing strategic direction, and supporting the Manager and staff team. This is a pivotal role that requires a strong leader with a passion for making a difference in the lives of families.

Key Responsibilities:

• Leadership: Lead the Board of Trustees in setting the strategic direction of the charity, ensuring that our mission and values are at the forefront of all decisions.
• Governance: Ensure the charity is effectively governed and complies with all legal and regulatory requirements, safeguarding the integrity and reputation of Home-Start Guildford.
• Support: Provide guidance and oversight to the Manager, fostering a collaborative and supportive environment that enables the staff team to thrive.
• Representation: Act as an ambassador for Home-Start Guildford, representing the charity at external events and meetings, and building relationships with key stakeholders.
• Communication: Facilitate effective communication and collaboration among Trustees, ensuring that all voices are heard and valued.
• Financial Oversight: Oversee the financial health and sustainability of the charity, working closely with the Treasurer to monitor budgets and financial planning.

Person Specification:

• Leadership Experience: Proven leadership experience, ideally within the charity sector, with a track record of strategic planning and governance.
• Governance Knowledge: Strong understanding of governance and the ability to navigate complex regulatory environments.
• Communication Skills: Excellent communication and interpersonal skills, with the ability to inspire and motivate others.
• Commitment: A deep commitment to the values and mission of Home-Start Guildford, with a genuine passion for supporting families.
• Financial Acumen: Experience in financial oversight and fundraising is desirable, with the ability to ensure the charity's financial stability.

Time Commitment:

The Chair is expected to commit approximately 2-4 days per month, including attendance at Board meetings and occasional events. This role offers a unique opportunity to make a significant impact on the lives of families in Guildford.

What does becoming a trustee involve?

As part of the trustee role, you will be expected to:

• Attend, and prepare for, a minimum of six meetings per year.
• Undergo a DBS (Disclosure and Barring Service) check.
• Undergo a selection process as outlined by Home-Start Guildford.
• Commit to the legal and financial responsibilities of the role, as outlined in the charity's Constitution (‘Foundation’ model constitution).
• Visit and engage with the office and staff to enhance your understanding of how Home-Start Guildford works.

Training and Support:

Trustees are fully inducted into Home-Start at the start of their new role; they will receive:

• An online welcome event and e-learning, introducing Home-Start’s service and your responsibilities.
• Training in key areas including safeguarding.
• Reimbursement of paid expenses.
• Access to Home-Start’s online community via HSUK intranet – full of information and guidance on running a local Home-Start.
• Tailored support by other trustees and staff.

Join our amazing volunteer team in this flexible opportunity that puts you at the heart of our work supporting blind and partially sighted people. You’ll make taking part in events and carrying out volunteering easier and more enjoyable for our customers and volunteers with sight loss.
You’ll take some of the stress and anxiety out of getting around and taking part in activities as a blind or partially sighted person. The help you give will encourage people to do more.

What you’ll be doing
• Sighted guiding / giving practical help to individuals in and around venues, so they can take part in events.
• Supporting volunteers with sight loss with their volunteering activities which range from facilitating a regular community group to delivering a talk about sight loss to a local business. Your role would involve things like guiding; Meeting and greeting at group activities or creating a welcoming and interesting display stand at events.

In this role you will only be helping individuals in places open to the public, often in a group setting. We will provide training in sighted guiding techniques and understanding sight loss.
We would particularly like to recruit support volunteers within the Downpatrick area (last Wednesday of every month)
