• When Martingale prepares to become an independent charity, provide support and oversight to the Head of Strategy and Operations with spin-out processes as they relate to compliance, including TUPE, charity registration and governance documents, ICO registration etc. Ensure Board members understand the legal duties and responsibilities of trustees

Citrus’ mission is to use the hands-on skills of circus and outdoor arts life to nurture citizenship and kindness in our neighbourhood, and to ignite creativity, connecting our community to self, to each other and to the land through hosting spectacular shared experiences.

Who are we looking for?

We are seeking new members to join our board and help us drive the company, ensuring that we work with determination and flair in everything we do.

We’re particularly interested in hearing from people who live in Hopkinstown or the local area, who are Welsh speakers and/ or who feel their lived experience is underrepresented in the arts or on charity boards.We are also interested in hearing from folks with experience in environmental sustainability, safeguarding, marketingor relationship building, staff management, data protection and/ or venue management. The most important thing, however, is that you are interested in the arts and have a desire and enthusiasm for helping our community and our young people to embrace creativity, citizenship and kindness.

A trustee is a person who takes care of the work of a charity, making sure it meets its charitable aims and carries out everything it does in a legal and professional way. Trustees have meetings every few months to check on, plan and discuss the work of the charity. Trustees do not get paid for being trustees, but they do get expenses for any travel etc.

Citrus’ board meetings are held around 4 times a year, usually on Zoom, and there are other Citrus creative events we love our board members to attend where possible. These can include screenings, gigs, performances, festival, workshops and much more. We aim to support our board with training and development needs as well as social opportunities. 

Currently, Citrus Arts has 4 trustees and we’re looking for 3 or 4 more.

Overview of the role
 
The Chair of the Board of Trustees ensures that the organisation’s strategy seeks to address some of the most complex social and economic issues in London today by attracting the right partnerships and investments and ensuring that funds get to where they are needed most in the most effective, efficient and impactful manner.

• Provide inspiring and inclusive leadership to the Board, helping define their strategic aims, and aligning these with its vision and values

Term
 
The Chair will serve a three-year term, renewable for up to two additional terms (maximum of nine years).

Remuneration
 
The role of Chair is not accompanied by any financial remuneration, although expenses for travel may be claimed.

Time Commitment
 
The Chair role requires an estimated commitment of 15–18 days per year. This includes preparing for and attending four Board meetings annually, each held at their London office; participating in occasional extraordinary or quarterly sub-committee meetings; holding regular meetings with the Chief Executive; and representing the Foundation at key events or external engagements.

What difference will you make?

Trustees are responsible for providing appropriate oversight, governance and leadership to the charity in the pursuit of its strategies to fulfil its charitable purposes. 

A trustee’s main duties under charity law are to: 

• ensure the charity is carrying out its purposes for the public benefit;
• comply with the charity’s governing document and the law; 
• act in the charity’s best interests; manage the charity’s resources responsibly; 
• act with reasonable care and skill; and ensure the charity is accountable.

We are seeking an experienced finance professional to provide strategic guidance on treasury management and support the Foundation with long-term financial modelling. The ideal candidate will also be comfortable engaging with the detail, offering practical advice on management accounts, and contributing to robust financial oversight.

As Martingale transitions to an independent charity, we anticipate this role evolving into that of Treasurer, with key responsibilities for year-end accounts and reporting to the Charity Commission. While experience with charity accounts is preferred, it is not essential. Martingale Foundation is currently incubated by Purposeful Ventures, which sets the investment strategy and manages the Foundation’s scholarship funds (approximately £5 million). An external finance consultancy has also been appointed to support financial administration.

When Martingale becomes an independent charity, the Finance Trustee will collaborate closely with the Head of Strategy and Operations to develop an investment strategy that aligns with our organisational goals and mission. The investment decisions will need to maximise the impact of held funds while maintaining a low risk profile to safeguard future Scholarships.

Requirements:

• Experience in senior finance roles
• Professional finance qualification (e.g. ACA, ACCA, CIMA)
• Knowledge of treasury management
• Ability to convey complex financial information to non-finance stakeholders
• Experience of working with a rapidly growing organisation, and building appropriate finance systems 
• Familiarity with grant reporting and donor compliance requirements (desirable) 
• Familiarity with charity accounting and SORP (desirable)

Job Description:

• Advise on Martingale’s budgeting, forecasting, variance analysis, and finance reporting where needed ahead of quarterly Board meetings

Help shape strategy, support staff and volunteers, and expand our valued services for older adults and the wider community. We are seeking an inclusive leader with strategic vision, governance experience, and a passion for local impact.

Chair Role Description

• Provide strategic leadership to the charity and the Board, ensuring that ECA achieves its mission.

• Work in partnership with the Centre Manager and team to achieve ECA’s mission.

• Lead the board in ensuring that it fulfils its responsibilities for the governance of the organisation.

• Optimise the relationship between the board and ECA’s staff and volunteers.

• Plan and chair the board meetings and the AGM, with others as appropriate.

• Act as a spokesperson and figurehead for ECA.  

What we are looking for  

• Ideally previous experience of being a trustee. 

• A keen sense of strategic purpose.

• Governance and committee experience in a charity or business setting.

• Strong in execution and managing transformation projects, including leading the charity in the new ECA building setting. 

• Experience in stakeholder engagement and ability to constructively negotiate and collaborate with various institutions, entities, and personnel.

• Affinity with and commitment to the local SW London and Teddington area.

• Business experience and awareness across finance, risk, IT, and people management, would be desirable.

• An inclusive leadership style, able to inspire and support everyone to participate on an equal footing. 

• The ability to listen and engage effectively, comfortable with challenge and debate and able to encourage that in others whilst fostering a collaborative board environment. 

• In advocation, be able and willing to champion ECA’s work through personal networks, social media, and other channels.

• A strong personal commitment to equity, diversity and inclusion. 

• Be available, responsive and flexible to advise, support or give consent to, as needed.   

Terms of office  

• Trustees are appointed for a 3-year term of office, renewal for 2 further terms to a maximum of 9 years.

• This is a voluntary position, but reasonable expenses will be reimbursed.  

Time commitment 

• Attending [6] Board meetings annually. Currently meetings are generally held in person at the ECA building.

• Periodic meetings with the Centre Manager and management team, with flexibility to respond swiftly to the occasional ad-hoc issues.

• Other meetings, including on potential strategy and other charity-related issues.
