We are looking for a Finance Trustee to support the Board by providing an oversight of our affairs, ensuring our financial viability and that proper financial records and procedures are maintained. 

We are a small CIO with 3 part time staff.  Our Finance Trustee will participate in all areas of our governance but take a special interest in the financial  strategy and governance. They will use their sound financial skills & experience to support the Board’s understanding & interpretation & to ensure legislative compliance.

Our payroll is outsourced and we have an external investment portfolio manager.

Our current finance trustee has served their term of office & it is now time to look for their successor.

All meetings except our AGM/annual award event are remote. We need you to be available to attend: 

2 (evening) Board meetings

1 summer (evening) business meeting

3 Finance subcommittee (evening) meetings

1 in person day Board/AGM/Award event

The Finance Trustee will adhere to the role description of a trustee & in addition has the following key responsibilities:

• To support the Board to oversee & to ensure appropriate presentation of budgets, accounts, management accounts and financial statements.
• To ensure appropriate presentation of accounts and records, ensuring that financial resources are spent in accordance with the charity’s policies, good governance, legal & regulatory requirements.
• Liaising, where applicable, with the Chair/ other appropriate members of staff & supporting on financial matters
• Supporting the Board to monitor the financial viability of the charity.
• Creating in conjunction with relevant trustees & staff sound financial processes & procedures for the control of the charity’s assets.
• Advising on the financial implications of the charity’s strategic plan.
• Reviewing the annual accounts &, where applicable, liaising with the charity’s external bookkeeper to ensure the accounts are compliant with the current charities’ SORP.
• Ensuring that sound financial management is maintained & ensuring expenditure is in line with the charity’s objects.
• Authorisation of charity expenditure & banking transactions set up on online bank accounts
• Liaison with the fund manager responsible for the charity’s investment portfolio
• Oversight of payroll, HMRC reporting & operation of auto-enrolment pension scheme for staff

PNH Support is celebrating its 10 year anniversary this year! Much has changed for patients living with the ultra-rare blood condition paroxysmal nocturnal haemoglobinuria (PNH) during this time including the development of a number of new treatments which have transformed many lives. Despite this, patients still face other continuing challenges, for example, dealing with fatigue and the psychological impact of living with a chronic disease. Importantly, patients also need their voices to be represented independent of healthcare professionals. The Opportunity

We are seeking a highly organised and experienced volunteer Company Secretary to play a crucial role in the effective governance and compliance of our charity. This is an exciting opportunity to contribute your expertise to a cause you care about, working closely with our CEO, Chairpersons, and Board of Trustees to ensure we meet all statutory and regulatory requirements. The Company Secretary should also be available to provide a central source of guidance and advice within THP-UK on matters of charity ethics, company law and good governance. 

Key Responsibilities

Board Meetings & Support

• Collaborate with the Chair and CEO to prepare agendas and forward plans for Board meetings.
• Circulate papers and documentation in advance of meetings.
• Attend all Board meetings (typically quarterly), ensuring meetings are properly constituted (e.g. quorum present, aligned with Articles of Association).

Statutory & Regulatory Compliance

• Keep an organised archive of governance documents, policies, minutes, and resolutions.

• Keep up to date with statutory requirements and best practice for good corporate and charity governance and inform the Board as appropriate.

Person Specification

Essential

• Proven experience in company secretarial, governance, legal, or high-level administrative roles.
• In-depth knowledge of UK charity and company law, including Charity Commission and Companies House requirements.

Time Commitment & Location

As a volunteer for THP-UK, you would play a vital part in our work. You will be home-based with attendance at in-person Board meetings every quarter in West London or Central London. We expect the work will entail approx. 8–10 hours per month, varying around quarterly Board meetings.

Charity law requires all charity trustees to prepare accounts for their charity. An independent examination is a form of external scrutiny that provides a limited check on specific matters.
Registered and excepted charities with income less than £25k must have an Independent Examination unless the accounts are audited. 

Requirement:

An independent person whom the trustees reasonably believe to have the requisite ability and practical experience to carry out a competent examination of the accounts.
Must be a member of one of the accountancy bodies listed in the Charities Act

Key tasks:

Well verse with Commission’s Directions and guidance as independent Examiner 
To provide an independent scrutiny of the accounts and, in this way, help maintain public trust and confidence in charities.
Ensure; No evidence was found of a lack of accounting records; Nor of the accounts failing to reflect those records; Nor of the accounts failing to comply with the relevant legislation
Liaising with the trustees to ensure the accounting records are available 
Agreeing responsibilities with the trustees, for example, who will prepare the accounts and file them with the Commission
Agreeing a timetable for the examination with the trustees 
Ensuring the examination takes place at a time when trustees and key staff are available to answer any questions that may arise

Key results/objectives:

At the conclusion of the independent examination the examiner makes a report to the charity trustees. Charity law requires the examiner’s report to comment on three specific things: 
the accounting records kept, whether the accounts agree with those records,  and whether the format of the accounts is correct.

Quarterly Education & Safeguarding Committee – 1-hour remote meeting, with up to 1 hour of prep.

Quarterly Full Board Meeting – 2-hour in-person meeting (ideally, but remote options available), with up to 2 hours of prep. We encourage in-person attendance as we socialise as a board afterward, but we fully understand when this isn’t possible.

What will you be doing?

After expressing an interest through the site, we'd welcome an initial conversation with our CEO and/or Chair. After that, we usually  take applications to the Board for consideration. This is usually quite a quick process. 

The overall role of a Treasurer is to maintain an overview of the organisation’s financial affairs, ensuring its financial viability and that proper financial records and procedures are maintained. 

In addition to the general responsibilities of a trustee, duties of the Treasurer  include: 

• Overseeing, approving and presenting budgets, accounts and financial statements (including arranging for the accounts to be submitted to the accountant). 
• Being assured that the financial resources of the organisation meet its present and future needs.
• Ensuring that Mind in Kingston has appropriate reserves in line with its reserves policy.
• Ensuring that appropriate financial reports are presented to the board.
• Ensuring that appropriate accounting procedures and controls are in place.
• Liaising with any paid staff and volunteers about financial matters.
• Advising on the financial implications of Mind in Kingston’s strategic plans.
• Ensuring that the charity has an appropriate investment policy.
• Ensuring that there is no conflict between any investment held and the aims and objects of Mind in Kingston.
• Monitoring the organisation’s investment activity and ensuring it is consistent with the organisation’s policies and legal responsibilities.
• Ensuring that the accounts are prepared and disclosed in the form required by funders and the relevant statutory bodies, for example the Charity Commission and/or the Registrar of Companies.
• If external scrutiny of accounts is required, ensuring that the accounts are scrutinised in the manner required (independent examination or audit) and any recommendations are implemented.
• Keeping the board informed about its financial duties and responsibilities.
• Supporting other trustees in understanding the organisation’s financial position and decision making.
• Contributing to the fundraising strategy of the organisation and the ethical fundraising policy.
• Making a formal presentation of the accounts at the Annual General Meeting and drawing attention to important points in a coherent and easily understandable way.

Person specification

In addition to the person specification for the Treasurer should have the following qualities:

• Relevant financial management/accounting qualifications and/or experience.
• Some experience of charity finance, fundraising and pension schemes or willingness to learn.
• The skills to analyse proposals and examine their financial consequences.
• Being prepared to make unpopular recommendations to the board.
• A willingness to be available to staff for advice and enquiries on an ad hoc basis.
