Short description of role:

As the Governance Manager and Board Secretary, you'll oversee the governance, documentation, and implementation processes of an institution. Collaborating with the Company Secretary as needed, you'll manage secretarial tasks and coordinate meetings for the Board, Council, and General Meetings.

As the Governance Manager and Board Secretary you'll:

• Ensure meetings are well-organised and documented. Work with the Board Chair/CEO to plan meetings, gather agenda items from the Leadership Team, and circulate agendas and reports on time. Take minutes, share approved minutes, and follow up on agreed actions. Handle invitations and distribute them both online and in person, updating email lists as needed.
• Manage records and administration for the Council, Board, Nominations Committee, and Benevolent Fund. Maintain organised files of agendas, papers, minutes, and reports, including decisions made and upcoming activities.
• Respond to committee correspondence and manage filing of received correspondence and replies.
• Serve as secretary to the Nominations Committee, ensuring proper protocols for awards and elections are followed.
• Recommend improvements to the Trustee Board regarding governance policies. Ensure changes to governing documents comply with regulations and liaise with relevant bodies when necessary.
• Ensure compliance with regulatory processes and deadlines.
• Assist in preparing the Institution's Annual Report, providing accurate information.
• Prepare the Trustee's Annual Report in collaboration with Trustees and the Finance Department.
• Complete reporting requirements within regulatory deadlines for the Benevolent Fund, including submissions to regulatory bodies and investment managers.
• Maintain and protect the Institution's trademark registrations.

Key requirements and experience:

• Supporting board and committee members, including minute-taking and proofreading, ideally in a membership organisation.
• Assisting committees, panels, and executive teams in developing and implementing policies.
• Ensuring compliance with legal and regulatory guidance.
• Writing reports and producing summaries for senior-level consideration.

Tearfund is looking for a part time Governance Manager and Company Secretary to support the effective governance of the Board, including supporting the Chair and the Board in fulfilling their legal and regulatory obligations and promoting best governance practice. The Dalit Solidarity Network UK is a small human rights organisation working to eliminate caste-based discrimination in the UK and South Asia. Registering as an official charity in 2003, Dalit Solidarity Network UK continues to grow as an effective campaigning and advocacy organisation, working on the issue of caste discrimination in the UK and being an active player in the global movement.  Our major areas of work include documenting 'everyday casteism', building capacity of businesses to address caste-discrimination in overseas supply chains and UK operations and working with UK Higher Education Institutions to protect against caste-discrimination.

Summary of the role:

We are seeking a new Director who will be responsible for working with the Board to:

i) Develop and deliver of DSN-UK's overall strategy and objectives;

ii) Provide strategic leadership to influence the policy and practice of key stakeholders to further DSN’s vision of a ‘world without caste discrimination’;

iii) Lead overall management of DSN-UK, including management of DSN-UK staff, its finances and other resources.

Main duties and responsibilities:

Leadership and strategy

Responsible for implementing DSN-UK’s strategy through specific campaign, lobbying and advocacy activities, including development of key messages and influencing strategies. 

Maintaining partnerships and network support within the UK, with partners in South Asia and international partners.

Conducting joint advocacy at UK/EU/UN level, representing these issues at UK Government level and participating in  other joint initiatives as appropriate.

Operational Management

Responsible for the day-to-day management of DSN-UK, including key  aspects of its internal administration, particularly providing oversight of financial management, annual budgets and the preparation of regular financial and programme reports for the Board.

Fundraising:

Leading the development and implementation of a fundraising strategy for DSN-UK, preparing funding proposals and reporting to donors on project achievements.

Human Resources:

Managing one part time office administrator and appointing other staff, volunteers and consultants in consultation with the Chair.

We are seeking an organised and driven individual for a maternity cover to lead on our education and training programme, which is facilitating the growth of a talented workforce by inspiring, connecting and retaining the next generation. This is an exciting and rewarding opportunity to make a real impact, addressing the skills gap in the industry, working alongside young people.

This is a varied role with a significant focus on events and project management, including special events, as well as engagement activities to raise awareness of career opportunities in the industry. This includes driving forward our new 'My Furniture Career' website aimed at 15 – 24-year-olds and attending careers fairs. This role will also involve working with specialist education providers to support the provision of industry specific education and training.

A successful applicant will have demonstratable experience of organising and delivering large scale events, timely and cost-effective project management and financial reporting. You will be able to work independently and with a high level of attention to detail and used to prioritising a complex workload. Experience of working in the sector or in a previous educational role is not required.

Job Purpose

• To be the focal point for implementing all Education and Training activity within the Company, and to report back to the Education and Training Committee to maximise its reach and effectiveness.
• To implement several large-scale national events engaging young people, industry and specialist education providers.
• Oversee and steer the activity around a new website to engage young people with possible careers in the industry, ensuring growing engagement with young people and job posters.
• To administer and deliver several small grant programmes which support furniture and furniture students or those working with said students.
• To support and report quarterly to the Education and Training Committee.

Key Responsibilities

Events

• Young Furniture Makers Exhibition - To plan, organise and deliver the annual one-day exhibition showcasing the best new talent to industry. Securing event sponsorship and working with sponsors during the organisation process to ensure positive relationships. Working with over 70 exhibitors, multiple sponsors and external suppliers to ensure a successful event.
• Young Professional Industry Engagement event programme - To plan, organise and deliver the annual three-week programme of CPD visits for a selected group of participants to industry hosts across the UK. Working with participants and over 20 organisations to schedule and deliver the programme.
• Furniture Making T-Level conference – Working with the Chair of the Education and Training Committee and selected members to plan, organise and implement a one-day conference on the practicalities of overing the Furniture T-Level in an educational setting.
• Organise and attend several regional career fairs and trade shows to promote the education and training initiatives and encourage young people to consider a career in furniture and furnishings.
• Plan and organise the content of an Education and Training slot at the annual Furniture Makers’ HR Conference to highlight key events and programmes.
• Ensure that equality, diversity and inclusion is considered in all aspects of Education and Training events.

Grants

• Administer a small annual grants scheme supporting colleges and universities which provide specialist furniture and furnishing education courses.
• Manage a travel bursary scheme to support exhibitors attending the Young Furniture Makers Exhibition.

Website

• Administer the jobs board featured on the My Furniture Career website, screening and approving posted vacancies as well as liaising with those posting jobs to confirm the status of the vacancy, sharing data once the vacancy expires and collecting feedback data from the poster.
• To work with the Digital Officer to agree a schedule of content for the website and its associated social media.
• Work with the Communications Manager and Digital Officer to promote the use of the website by the targeted audience group as well as the HR community to post vacancies to the jobs board.
• Produce a quarterly report detailing the usage and any highlights regarding the website.
• Report any technical issues to the website provider and liaise with them to fix the issue.

Reporting

• Quarterly reporting on activity and budget to the Education and Training Committee.
• Supporting the Committee Chair by setting up Committee meetings and taking minutes.
• Supporting the Committee Chair with any other administration as necessary related to the Committee. 
• Assist with any ad hoc administration as necessary related to the FIESTA Committee.

Miscellaneous

• Assisting the Education and Training Committee Chair with any administration in regard to the Masters Certificate Scheme.
• Send quarterly feedback surveys mentoring participants and collect the data for reporting purposes.
• Work with the Communications and Marketing Manager to promote Education and Training events.
• Keep the Education and Training budget up to date and process all invoices in a timely manner.
• Report back to all event sponsors after any Education and Training sponsored event to keep sponsors updated and aware of the events successes.

Personal Attributes and Skills

• Success in delivering projects and large events against demanding targets and deadlines.
• Excellent administrative track record, with experience with an educational and/or charitable organisation.
• Highly motivated, dynamic, self-starter able to work largely on own initiative.
• Ability to plan, manage own time, work to deadlines and perform effectively under pressure.
• Excellent communications, influencing, negotiation and presentation skills.
• The credibility to deal with people at all levels.
• IT and finance literate.
• Empathy with The Furniture Makers’ Company charitable cause and programme.
• Enthusiasm and willingness to learn are essential: occasionally the post holder will need to perform tasks outside of the formal Job Description.

This is a new permanent role on our Senior Leadership Team, reporting to the CEO and specifically designed to deliver against the next phase of Waterwise’s journey – increasing our reach and impact on water efficiency both within and beyond the water sector. You’ll be leading and broadening our commercial offer, helping us drive even greater impact in water efficiency, and the income to support it, across the UK. You’ll refine our proposition and pricing of existing services, seeking opportunities to cross-sell additional services to existing audiences, as well as broadening our reach, engaging with completely new audiences and developing and shaping new commercial services aligned to new customer needs. You will have strong experience at senior level in driving commercial impact for good, and everything this involves in terms of income, growth, commercial strategy and delivery, and risk management. You’ll be working closely with our Board, and reporting to the CEO and the Board on finance and risk.

You will work at the heart of Mind within Chief of Staff office, providing expertise to enable the organisation to understand and manage the risk it faces, in order to deliver its strategy in line with legal and regulatory compliance frameworks, while meeting Mind's quality & governance standards. The post holder will:

You will have the opportunity to work across all teams at National Mind, critically engaging with information about how different teams are contributing to our annual business plan and our strategy. You will also work closely with Mind's Chair and Trustees, leading on governance and agenda-setting, board development and trustee recruitment and induction, helping to ensure our governance is sustainable, effective and efficient. You will lead Mind's approach to corporate risk management, implementing effective systems and processes to support this.

Candidates will have experience of facilitating good governance within a values driven environment, working with Corporate Risk frameworks and managing risk by supporting others across all levels of the organisation.
