Exciting Volunteering Opportunity: Join CGD Society as Secretary to the Board of Trustees 

Are you passionate about governance and looking to make a meaningful impact? The CGD Society (CGDS) is seeking a dedicated individual to join the trustee board as Secretary of the Board. This position offers a unique chance to lead on governance initiatives while collaborating closely with a supportive team of Trustees and staff.

As Secretary, you’ll wear two important hats:

• Company Secretary: Keeping our records in order, organising board meetings, and ensuring timely filings with regulatory bodies.

• Governance Lead: Driving best practices, staying ahead of regulations, and working to strengthen our charity's governance framework.

You'll have strong support from our Chair, Treasurer, Executive Director, and the Governance & Finance Subcommittee.

The Silk Heritage Trust celebrates and shares the extraordinary story of Macclesfield; a story of creativity, industry, and enterprise. After a period of focused work, we are in healthy and optimistic position, with a clear strategic plan and the resources we need to achieve an ambitious step-change in the coming years. Support from the National Heritage Memorial Fund, Arts Council England and the National Lottery Heritage Fund mean that we’re able to look forward to a transformed future at the heart not only of the North West’s industrial heritage, but also the wider international patrimony of textile design and manufacture.

With a new lease in place on Paradise Mill, and a significant opportunity to restore and commercialise the looms and pattern books we hold, we are preparing to make a once-in-a-generation investment in the future. Our goal is to create a unique, integrated visitor experience, with the breathtakingly atmospheric Paradise Mill complementing the wider story of Macclesfield’s heritage and people, as told in the neighbouring Silk Museum. The Old Sunday School building, one of our town’s landmark buildings, will be sensitively transformed so that it will continue to be a popular and much-loved community hub.

We are looking for an energetic individual who can act as a figurehead for the Trust, help strengthen and develop our networks, develop our landmark buildings and gain support for our vision. Each year we seek new volunteers to join our board of trustees, bringing with them the skills and experience we need to work for a better future for nature, people and the green spaces we all love across Rotherham and Sheffield.

As well as an enthusiasm and passion for our work, we are looking for people with the skills to help govern the Trust.Experience of working in a decision-making group is very helpful as well as a good local knowledge of Rotherham and/or Sheffield. The Finance Trustee will engage in all aspects of our governance, with a particular focus on financial strategy and governance.They will use their sound financial skills & experience to support the Board’s understanding & interpretation & to ensure legislative compliance.  

• To support the Board to oversee & to ensure appropriate presentation of budgets, accounts, management accounts and financial statements.
• To ensure appropriate presentation of accounts and records, ensuring that financial resources are spent in accordance with the charity’s policies, good governance, legal & regulatory requirements.
• Liaising, where applicable, with the Chair/ other appropriate members of staff and supporting on financial matters
• Supporting the Board to monitor the financial viability of the charity.
• Creating, in conjunction with relevant trustees and staff, sound financial processes and procedures for the control of the charity’s assets.
• Advising on the financial implications of the charity’s strategic plan.
• Reviewing the annual accounts and, where applicable, liaising with the charity’s external auditor to ensure the accounts are compliant with the current charities’ SORP.
• Ensuring that sound financial management is maintained and ensuring expenditure is in line with the charity’s objects.

Action Homeless wants to make a difference and we are looking for trustees who want to make a difference too. Action Homeless’ Strategy centres on breaking the cycle of homelessness in Leicester by addressing a wide range of issues that lead to someone experiencing  homelessness. Action Homeless currently provides over 250 safe and secure homes for people who have experienced homelessness. To extend this provision is part of the driving force of our strategy, but it’s not just about a roof over a head; it is about the support and aftercare that are essential in preventing a perpetuating cycle of homelessness.

The Welfare Benefits Unit aims to maximise benefit take-up, helping to reduce the incidence and impact of poverty and in doing so improve health, well-being, financial and social inclusion. We are a registered charity based in York. We primarily operate in North Yorkshire and York although some of our services are accessed by organisations working further afield.

About the Role

All Trustee positions are voluntary with reasonable expenses remunerated. To be an effective Trustee, you will need to commit up to 1-2 days per quarter to attend and prepare for board meetings which are held virtually.

Effective Trustees support our work by:

• ensuring we are working towards our vision, mission and values in everything we do
• ensuring the effective and efficient use of resources, maintaining proper financial and regulatory oversight and best practice as a charity
• approving the annual budget, and supporting strategic decision-making by actively contributing advice and guidance
• appointing key personnel such as the Chief Executive, and determining pay and conditions for the wider team

With a refreshed 3-year strategy (23-26), “A Wilder Herefordshire, More Nature Everywhere” we’re working hard to recover nature at scale through deeper collaborations, working with local community organisations and networks to develop a clear plan for nature’s recovery. We are also working with neighbouring Wildlife Trusts, river partnerships and national partners such as the Woodland Trust, National Trust, and Duchy of Cornwall.

As Chair of Trustees you will provide strategic direction for the charity, ensuring that we are meeting the demand for our services, and making certain that we help and support people in crisis in the local community.

What will you be doing?

This role involves leading and overseeing the trustee board in ensuring the effective performance of its legal, regulatory and governance responsibilities. It is also an essential part of the role to support the Foodbank leader to achieve the vision/objectives of the Foodbank and to ensure there is a positive relationship between the trustee board, Foodbank staff, volunteers, and any other stakeholders.

Chairperson Responsibilities:

• chair trustee meetings so that the board functions effectively and carries out its duties
• ensure the board sets an overall direction for the Foodbank with clear objectives
• ensure that the business of meetings is dealt with, and decisions are recorded and implemented
• in consultation with the rest of the board, recruit board members with relevant expertise and experience when required
• to ensure that there is appropriate line management in place to manage the FoodBank Manage

Ensure an effective relationship between staff, volunteers, and stakeholders:

• to plan with the Foodbank Manager, an annual schedule of any subcommittee/steering group meetings and other key events which board members should attend
• to work alongside the Foodbank Manager to ensure there is appropriate communication between the trustee board and staff, volunteers, and any other stakeholders.

Other responsibilities, along with the board of trustees, include:

• to approve, support and guide the charity’s purpose, vision, strategy, goals and objectives
• to manage the charity’s resources responsibly, ensuring the charity’s assets are used only to carry out its purpose, ensure the charity does not become over-committed, and ensure that key risks are identified, monitored and controlled appropriately

Currently trustee meetings are held quarterly and alternate holding meetings virtually and in person in Abingdon. The meetings last about 2.5 hours. In addition, there are up to two away days a year and an AGM. Papers typically require about two hours reading per meeting.
