Company Secretary
*This is an initally voluntary role for a charity (community interest company), initally.
We are seeking a reliable and detail-oriented Company Secretary to join our Board of Directors. This is a key governance role ensuring that the organisation meets its legal, regulatory, and reporting obligations as a Community Interest Company. The successful candidate will support good governance, maintain statutory records, and help ensure the smooth running of board operations.
Key Responsibilities

Ensure compliance with Companies House and the Office of the CIC Regulator, including timely submission of:

Annual accounts

Confirmation Statements

CIC34 Community Interest Report

Maintain accurate statutory records (registers of directors, people with significant control, and key company documentation).

Arrange and document board meetings, including issuing agendas, papers, and minutes.

Advise the Board on governance requirements, policies, and regulatory responsibilities.

Ensure decisions taken by the Board are properly documented and filed.

Support the Managing Director with board administration and governance processes.

Maintain up-to-date records of policies and organisational documents.

Manage official correspondence on behalf of the organisation where required.
Person Specification
Essential

Strong organisational and administrative skills

Excellent written communication and attention to detail

Understanding of confidentiality and data protection requirements

Ability to work collaboratively with board members

Commitment to good governance and ethical practice
Desirable

Previous experience as a Company Secretary, charity trustee, or governance officer

Knowledge of company law or CIC structures

Familiarity with charity or social enterprise governance
