We're looking for a Head of Governance and Compliance to work closely with our CEO, Executive Leadership Team and Board of Trustees. This is a vital role at the centre of the organisation, supporting a wide range of influential individuals. The Head of Governance and Compliance will need to adapt to varied working styles and expectations, with the ability to approach all relationships with professionalism, clarity and care.

As Head of Governance and Compliance, you will lead our governance function, ensuring legal and regulatory compliance while enabling effective decision-making. With strong governance experience, sound judgement and the ability to build trust at all levels, you will support effective leadership and accountability across the MND Association.

Key Responsibilities:

• Lead and continuously develop the governance function, embedding best practices aligned with our strategy and values.
• Act as the primary trusted advisor on governance, risk and regulatory matters to the Chair, Board, COO and Executive Leadership Team.
• Lead and develop governance frameworks, policies and structures that reflect best practice.
• Oversee planning and delivery of all governance activities, including Board meetings, Committee meetings, and the AGM.
• Provide clear structured agendas, timely papers and accurate minutes to support effective governance meetings.
• Maintain governance records and ensure regulatory compliance with Companies House and the Charity Commission.
• Monitor and report on governance performance, risks and improvement areas.
• Take a leading role in managing and enabling constructive and challenging relationships between the Board, Chair, and ELT.
• Manage trustee recruitment, induction, training and succession planning.
• Oversee the organisation’s policy framework and serious complaints process, ensuring appropriate enquiry and learning.
• Lead the development and implementation of the risk management framework in line with Board expectations.
• Stay informed on legal, regulatory and sector developments and advise the organisation on implications.

• Strong knowledge of UK charity and company governance.
• Proven experience working with Boards and senior leaders in a governance role.
• Skilled in developing governance policies, frameworks and risk management processes.
• Excellent written and verbal communication skills, with strong attention to detail.
• Good level of financial acumen within a governance role.

The Person

You'll need to be strong in Excel, including the use of pivot tables and VLOOKUPs. While experience in the charity or not-for-profit sector is a bonus, it's not essential-we welcome candidates from a range of backgrounds who bring the right skills and mindset.

• Significant experience in a senior finance, governance, or company secretarial role in the charity or non-profit sector.

• Strong working knowledge of UK charity finance and regulatory obligations. The organisation will be making grants from an early stage, so experience with grant-giving will be highly valuable.

• Excellent attention to detail, reliability, and professional integrity.

• Confident managing external advisers and auditors.

• Comfort with ambiguity and excitement at the prospect of an entrepreneurial, mission-driven organisation

• Cost Control & Financial Performance:

o Monitor operational costs and identify areas for cost reduction, ensuring financial controls are in place.

o Support the procurement process by evaluating supplier contracts and ensuring cost-effective purchasing.

• Compliance & Audit:

o Ensure compliance with relevant accounting standards and regulations (e.g., IFRS, FRS 102, VAT).

o Assist in preparing year-end audits, providing necessary documentation and reports.

• Stakeholder Engagement:

o Work closely with village and care home managers, the senior finance team, and external auditors.

o Present financial results to non-financial managers and ensure financial understanding across the business.

• System and Process Improvement:

o Contribute to the continuous improvement of financial systems and reporting processes.

About Finance at Hope into Action 

The Finance function of Hope Into Action is small team comprising the Finance Lead, the Finance Administrator and a volunteer reporting to the Head of Operations. It is largely paperless and supports our 42 staff with accounts payable and receivable functions. It works in conjunction with the other departments to deliver timely, accurate and strategic financial information for both the Executive Team and the Board of Trustees. 

About the role 

The Finance Lead is a key role in enabling Hope into Action fulfil its vision of every church lovingly making a home for those experiencing homelessness.

The role is broad ranging from monitoring the Finance inbox to posting transactions on our Xero accounting system and producing the monthly management accounts within our target of 10 working days from the month end 

In addition, you will support the year end work by producing the schedules required by auditors, take a lead in the annual budgeting process, produce the biannual investor statements and compile the gift aid returns. 

You will be expected to meet regularly with budget holders to help them achieve their targets and/or devise a plan to bring them back on track.

We are looking for a self-motivated person with a passion for our work, tenants, staff, churches and mission. You will be adaptable and equally comfortable with bank reconciliations as writing a commentary on the management accounts. We employ people of hope where humility, a genuine desire to love and serve others, and strength of character are as important as any job description. Roughly, 50% of our homes are in our ‘line-managed cities’ (Peterborough, Norwich, Nottingham, Cambridge), the other 50% are found across a further 30+ towns which we franchise into.
