Role purpose:
To contribute to the board’s role by...
- Acting in the best interest of Hospiscare and its beneficiaries
- Acting as an ambassador and spokesperson for the charity.

Time commitment/location:
Trustees will be expected to attend four board meetings, circa four
committee meetings and one to two away days a year and be fully
prepared for these meetings. These meetings start at 4pm on a
Tuesday and are held at Searle House in Exeter. We also have sub-
committees and trustees are encouraged to join where their
skills/experience will had specific value.
Trustees are expected to travel within the area served by
Hospiscare and occasionally out of area.
Term:
Trustees are appointed for a three-year term and may serve a
maximum of three terms.

Role Summary
Our Board of Trustees work to improve the lives of people with a learning disability, exercising good governance and following all necessary policies and procedures.
The Chair of Trustees will:
- Provide leadership and direction to the board of Trustees and enable the Board to fulfill their responsibilities for the overall governance and strategic direction of the organisation.

Time commitment

We aim to meet for 2 hours, although recent increased activity has tended to extend the time to 3 hours. *The Board recognizes that it would be better to move to a bi-monthly or quarterly schedule, and would like to do so in future. Trustees receive Committee meeting papers a week before the meeting to enable them to prepare for the meeting.

Trustee duties
Trustees are the people who lead our charity and decide how it is run. We envisage the trustee duties broadly as:
- Support and provide advice on EIDA’s purpose, vision, goals and activities.
- Attend Board meetings, adequately prepared to contribute to discussions.
- Approve operational strategies and policies and monitor and evaluate their implementation.
- Oversee EIDA’s financial plans and budgets and monitor and evaluate progress.
- Ensure the effective and efficient administration of the organisation.
- Ensure that key risks are being identified, monitored and controlled effectively.
- Review and approve EIDA’s financial statements.
- Provide support and challenge to EIDA’s CEO.
- Keep abreast of changes in EIDA’s operating environment.

- Participate in periodic appraisals of the performance of the Board of Trustees, collectively and individually.

Inclusive Boards is pleased to be supporting The University of Birmingham Guild of Students in their search for an External Trustee. The Guild is looking for a professional to join our Trustee Board as an External Trustee. The Trustee Board is ultimately responsible for overseeing the affairs of the Guild. Friends of the Lake District (FLD) is looking to recruit new volunteer trustee directors to join its Board to replace those who are retiring.

The Board has overall responsibility for the organisation ensuring that: it operates within the aims and objectives of the charity, complies with the regulatory requirements placed upon it by the Charity Commission and other regulatory bodies, and meets the obligations placed upon it in respect of our employees and volunteers who help us deliver our objectives. The Board is answerable to members in General Meetings. There are usually about 6 full Board meetings each year, of which 4 are in person. These are generally full days and are held at or near our offices in Kendal. Some meetings take place by Zoom, which can also make possible remote attendance at in person meetings.
The primary focus of the Board is on strategic and governance matters, but it also has general oversight of the organisation and management of the Chief Executive Officer who with their Senior Leadership Team are responsible for managing the day-to-day delivery of our activities.
Trustee Directors are expected to contribute to delivering our aims by sharing their knowledge and expertise and serving on internal and external committees and assisting with project delivery.
We are currently seeking candidates with experience of working on committees with strategic responsibilities. Expertise or an interest in the following areas would be advantageous, but anybody who shares our aims and vision should not be deterred from applying.

The Role
The People and Culture (P&C) Committee is responsible to the Board of Trustees for oversight of the People and Culture Strategy and its effective implementation, including the Equity, Diversity and Inclusion agenda. The scope of the P&C Committee includes HQ volunteers as well as the staff workforce. It sets and reviews the salary of executive management; oversees the annual cost of living review, is focused on developing the right working culture for the organisation and scrutinises and approves HR policies.
The role of an Independent Member is to provide the People and Culture Committee with advice, guidance and scrutiny to assist the Committee in making key decisions.
Main Responsibilities
Along with other members of the Committee:
- Review the People & Culture Strategy which supports the organisational strategy and recommend it to the Board
- Act as advisor to ensure Equity, Diversity and Inclusion considerations for staff and HQ volunteers underpin the objectives within the People & Culture strategy
- Conduct high level monitoring and oversight of the achievement of objectives within the People & Culture strategy
- Oversee the HR function to assure that we are legally compliant, effective and responsive to the needs of the organisation and its people
- Ensure that the culture of the organisation is appropriate to achieve its objectives and support its values
- Monitor HR key performance indicators to assure the Committee and the Board that the Scouts is a good employer
- Ensure that robust and suitable HR policies and procedures are in place, that ensure fairness, equality and best practice in the management of staff, including an effective Reward Policy to underpin the successful recruitment and retention of staff
- Recommend to the Board the annual staff pay award
- Ensure the effective recruitment of ELT members via the Chair of the Committee
- Approve remuneration for ELT (with the exception of the Chief Executive whose remuneration is determined by the Board)
- Ensure an effective performance management policy and appraisal process is in place for ELT
- Assure itself that staff/volunteer relationships are effective
- Oversee the wellbeing of our people, working in collaboration with the HQ Health, Safety and Welfare Committee.
The person
Candidates should:
- Have a strong track record of achievement, especially in the area of Reward and Recognition
- Have experience of contributing to, supporting and or/leading HR policy formulation and culture setting across a large organisation or movement
- Have experience of designing and managing pay, benefits and non-financial incentives to motivate people
- Have a breadth of vision and a grasp of governance issues alongside an eye for detail
- Have unquestioned integrity, effective communications skills and experience of high-level discussion
- Have an understanding and commitment to The Scout Association’s evolving strategic plan and vision
- Be able to digest and act upon large amounts of written material, and have the ability to consider and constructively challenge the performance, strategy and objectives of The Scout Association
- Have experience of the Scout Movement and, ideally, the role of HQ volunteers
- Have experience of working at, or volunteering with, a charitable organisation
Time Commitment
For this role, the appointed candidate should expect to spend the equivalent of a day per quarter on The Scout Association’s work after the induction phase. This is based on preparation for and attendance at the scheduled People and Culture Committee meetings (three in each year, generally two meetings online and one face to face in London)
Appointment term
Appointments are typically for an initial three-year term, with the possibility of a further term of three years subject to a satisfactory appraisal.
Remuneration and expenses
In common with other registered charities, there is no remuneration directly associated with the role, although the Association will reimburse fully for all reasonable and properly documented expenses incurred in performing duties in accordance with the Association’s Expenses Policy.
Safeguarding rules – Yellow Card
We are a youth organisation who takes safeguarding seriously. The post holder agrees to comply at all times with the safeguarding rules as set out on TSA’s yellow card. This is shared with young people and carers, as well as employees, so everyone knows our rules of engagement. In order to comply, stringent vetting procedures take place including checking against an internal database to assess suitability and also Basic/Enhanced DBS checks as required.

But to do this we need professionals who can guide and develop the charity’s strategy as Trustees. Many of our current Trustees will complete their terms this year. We particularly value financial and public administration skills and people with lived experience of disability. We believe in the strength of a varied board and welcome applicants from all walks of life, regardless of their previous Trustee experience.

With a refreshed 3-year strategy (23-26), “A Wilder Herefordshire, More Nature Everywhere” we’re working hard to recover nature at scale through deeper collaborations, working with local community organisations and networks to develop a clear plan for nature’s recovery. We are also working with neighbouring Wildlife Trusts, river partnerships and national partners such as the Woodland Trust, National Trust, and Duchy of Cornwall.
So, with lots happening, it’s an exciting if challenging time for the Trust. Urgent action is needed to address the decline of wildlife in our beautiful county – and we need to muster all the resources and skills we can to succeed.

Would you like to help govern and shape the work of your local Wildlife Trust whilst being part of a federation of 46 Wildlife Trusts in the UK and Wildlife Trusts Wales?
We are looking for people who share our vision and commitment of nature recovery to take up vacant positions on Gwent Wildlife Trust’s board of trustees. In particular, we are looking for a Company Secretary as well as trustees with financial oversight skills to succeed to Treasurer, however these are not the only requirements, applications for general trustee positions are also welcome.

Our activities and the communities we serve across Gwent are diverse and we want our Board to reflect this, and include a diversity of gender, colour, age, ethnicity, physical ability, sexual orientation and religious belief. The Board is responsible for governance and the strategic matters facing the Trust, including finance and funding, programme development and HR with operational matters delegated to the CEO and our professional and committed staff team. Our Board meets every two months; a mix of in person and remotely or hybrid. Trustees need to devote some time in advance of these to read relevant papers so they can ask questions and provide strategic direction on plans and issues. In addition there are sub committees where trustees advise staff on key policy and operational matters.

The Role
At this time, we are seeking to strengthen our Board by appointing a Trustee with dedicated experience in successful strategic fundraising and knowledge of corporate and philanthropic giving working with major donors, Trusts and Foundations, Patrons and Ambassadors, to help support our strategic objectives.

As a Trustee you will have the opportunity to influence our development, and with the other members of our Board, you will be responsible for the overall governance and strategic direction of the Charity.

Trustee experience in the charity or social care sector is not required, and training and mentorship will be available to those interested in developing their leadership skills through being a Trustee.
