This key role presents an excellent opportunity to see projects through from conception to completion and to play a part in shaping how we work and what we do. You will have responsibility for day-to-day operation of UCISA, including technical Infrastructure and systems used to deliver UCISA’s services to our members. You will deputise on operational matters for the CEO and represent and advocate for UCISA alongside other management team colleagues.
You will be reporting directly to and working closely with UCISA’s CEO and have opportunities to develop your own skills in running an organisation in an innovative and agile way. Ultimately, you’ll ensure our operations run smoothly and that people are productive.
The role sits within the Management Team and the post holder will deputise for the CEO alongside management colleagues.

Working with the Head of Governance, the Governance Manager will play an important role in managing governance activity and embedding good governance practices across the charity.
They will provide a high standard of confidential governance support to the CEO, Chair and Trustee Board, ensuring the effective running of the activities of the Board and its committees, enabling them to operate highly efficiently and help deliver strong governance functions.
Main duties and responsibilities of the role:
Support for the Chair and Board of Trustees
- With the Head of Governance, support the Chair in their role in leading the governance of the organisation and other activities they undertake in their role.
- Organisation of Board and committee meetings, including compilation and circulation of papers to strict deadlines, attending meetings, minute taking and ensuring follow-up actions are completed, providing first class secretariat support and effective administration at all times.
- Deliver the overall programme of work for the Board throughout the year, including arranging venues and logistics for trustee and committee meetings as well as wider development activities such as away days or visits.
- Support the arrangement of annual board and Trustee appraisal activities.
- Support Trustees in their roles, proactively seeking out relevant opportunities to help them in their ambassadorial roles and in building relationships across ARUK.
- Lead on the Trustee induction and onboarding process for new Trustees including preparation of Trustee induction paperwork and registration with regulatory bodies.

Governance
- Work with trustees and senior management (as required) to ensure the overall governance process administration is efficient and best practice.
- Management and maintenance of the online board portal software ensuring it remains up to date and accessible to Trustees.
- Maintenance of the register of Board members’ and Directors’ interests and any arising conflicts.
- Lead on an annual review of governance documents including terms of reference and schedule of delegation.
- Work with Operations, risk and compliance team on risk management and board assurance activities.
- Support the co-ordination and submission of regulatory returns in accordance with statutory deadlines.
- Present, record, file and store data (including all minutes of meetings and trustee related data) in accordance with company policy.
- Keep abreast of developments in governance and charity regulation and identify further opportunities for improvement to ensure ARUK delivers best practice.

- To monitor, develop and review policies and resources which support good governance.

The Role

Purpose of job:
To ensure the right cost structure, financial operating platform, systems and controls are in place to deliver Comic Relief’s vision and strategy, making sure investments are effectively managed and protected and making sure high levels of integrity are upheld.
They will also ensure that appropriate advice, information, insight and support is provided to trustees, directors and staff on all financial matters relating to the charity and its trading subsidiaries. Alongside this they will support strategic planning and building finance capability across the organisation.

Key Accountabilities / Objectives:
· Own the organisational budget, forecasting, cash flow management reporting and financial KPIs.
· Ensure robust financial controls and policies are in place and functioning effectively.
· Ensure that tax position is optimised and income maximised (e.g. Gift Aid, returns on investment and cash)
· Oversee year-end audit and production of financials statements including Trustees’ Report.
· Ensure that a sustainable financial model is in place that it is transparently communicated to stakeholders and adhered to. Establish a long-term plan that reflects and supports this financial model, monitoring progress and pro-actively managing risk areas.
· Drive financial ownership, accountability and understanding across the organisation by ensuring budget owners have the knowledge, skills and tools to manage their budgets effectively. Ensure effective financial business partnering is underpinned by effective processes and guidance
People management
· Proactively undertake business planning, prioritise activities and ensure clear and realistic objectives based on capacity, expertise and aspirations are set across the Finance team.

Person Specification
Essential Criteria
· Qualified accountant with relevant post qualification experience and a good understanding of financial systems and processes.
· Extensive experience of using finance systems – Xledger and Adaptive Insights would be desirable.
· Knowledge of Charities SORP, statutory accounting regulations, VAT (including exempt, partial exemption, and reverse charges), PAYE and other payroll taxes, and Gift Aid.
· Experience of working effectively in cross-functional project teams.
· Experience of operating at and presenting ideas at senior level including at Board level.
· Proven experience of coaching and training both finance and non-finance staff.
· Understanding of voluntary sector, financial controls required and how to work with decision making structure (including Trustees) preferred.

The role
The Governance Officer liaises with external partners and supports the Director-General to ensure governance activities align with the Foundation’s strategic goals. Working under the direction of the Senior Office Manager (People and Finance), you will bring strong administrative and diplomatic skills.
Your main responsibilities will include:
- Manage communications and correspondence with Governors, High Commissions, and external stakeholders.
