Context and purpose

· The Trustee – Secretary will act as ‘company secretary’ for the Board.
· The skills, experience and expertise of the Trustee-Secretary will help us ensure that we are delivering best practice in terms of board administration and wider governance of DEx
· A specific background in charity governance or having been a secretary before is not necessary, but a commitment to learning and development in the area is.
Main responsibilities
· Act as secretary to the Board – working closely with the Chair and Chief Executive to:
o Coordinate Board meetings

· Monitor DEx’s compliance with best practice in charity governance, Charity Commission regulations using our own compliance monitoring tools.

The Board of Trustees are a vital part of our SafeLives community. The Board is responsible for the charity’s strategy and supporting the growth and viability of the organisation. About the role.
To ensure that our governance remains robust and that, as a group of non-executives, we are able to continue offering support, advice and scrutiny to our senior leaders, we are now seeking to appoint new members to one of our committees and one of our Divisional Boards.
Firstly, we seek to appoint a co-opted member to join the UCEN Manchester Board. This Divisional Board provides oversight of the operation of the higher education provision offered by UCEN Manchester on behalf of the LTE Group.
We also seek to add a new co-opted member to our Audit & Risk Committee, whose remit is organisation-wide and whose support and challenge are vital if we are to ensure that, as an organisation, we remain compliant and can manage and mitigate the risks that affect us.
Both the UCEN Manchester Divisional Board and the Audit & Risk Committee meet three times per year, and members of these committees are required to attend in person.
Who we are looking for.
Co-opted Members are expected to support the work of the LTE Group Board of Governors through their membership of a divisional board or a group committee. You will be expected to contribute your expertise, skills and knowledge to support the operation of the UCEN Manchester Divisional Board or the Audit & Risk Committee and ensure the work is done efficiently and effectively.
As such, we are seeking candidates who are experts in their chosen fields and can demonstrate a strong interest in all aspects of the LTE Group’s broad provision, including further and higher education. Commitments to lifelong learning, high-quality education and training, and equality and diversity are all essential.
For the UCEN Manchester Divisional Board we are seeking candidates with senior leadership experience in the English higher education system, who have knowledge of OfS and TEF frameworks.
For the Audit & Risk Committee, we are seeking candidates with professional expertise and experience in cyber security.
Candidates for both roles must be able to work positively with others and contribute as a team member, have the ability to make reasoned decisions and be willing to contribute to establishing and monitoring performance at a strategic level.

About the board and Trustee role
Trustees are volunteers who oversee the strategic direction of the charity and ensure its compliance with regulators and the law. They are also ambassadors for the charity; and they provide the staff team, which does the day-to-day work, with both scrutiny and support.
The full board meets quarterly. Two meetings focus on ‘business’ – approving budgets and policies, making key decisions, etc. The other two are more discursive, covering strategic issues.
We have four sub-committees: Finance Audit Investment & Risk, Impact & Income Development, Research & Policy, and Governance & People. Trustees are generally invited to sit on at least one sub-committee, which gives them more detailed insight into the charity’s work in that area. A number of trustees choose to sit on multiple sub-committees (there is no upper limit) and trustees are also welcome to attend any sub-committee, for example as a one-off, to see what happens or if they have an interest in a particular agenda item. Sub-committees also meet quarterly.
And there is usually one strategy day a year.
We currently have ten trustees on our board, with skills and experience in charity leadership and governance, addictions psychiatry, academic research, public affairs, policing, and marketing. We are looking to a recruit a further two trustees.

Trustees’ Role Description and Person Specification
Being a Trustee of Alcohol Change UK
Our Board of Trustees has overall responsibility for the UK’s leading charity in the field of alcohol harm. We are a registered charity (No. 1140287) and a company limited by guarantee (No. 07462605). Our trustees are also members of the charity and directors of the company. Governance is in accordance with both charity and company law. This role description uses the term ‘trustee’ to refer to all three roles (trustee, member, director).
As well as overseeing proper governance, the Board is responsible for strategic decision-making, upholding the reputation of the charity and ensuring that it delivers on its charitable object to reduce alcohol harm. As a trustee you will share this collective responsibility and bring your personal skills, experience and connections to bear.
This is an exciting time for the charity as we are in the first year of our newly approved five-year strategy from Apr 2024 to Mar 2029. Our new trustees will play a key role in helping us deliver on this strategy.
The Duties and Responsibilities of Trustees
Governing Documents
Our primary governing document is the Memorandum and Articles of Association which sets out the formal duties and responsibilities of the trustees, directors and members. It is complemented by our Scheme of Delegation. We have also adopted the Code of Good Governance, and remain compliant with the rules of the Charity Commissioners and Companies House.
General Duties and Responsibilities
The following are general duties, based on documentation from the Charity Commission and Companies House:
- To act in the interests of the charity’s objects – that is, its cause and its beneficiaries.
- To act reasonably and prudently in all matters.
- To avoid personal views and prejudices affecting your decision-making.
- To protect – and actively promote – the property, interests and reputation of the charity.
- To set the strategic direction, provide strategic oversight, and make critical decisions.
- To always make decisions collectively as a board and in particular to actively support all board decisions (that are made in accordance with the charity’s constitution) regardless of your personal position on such decisions.
- To understand how the charity works, including being fully aware of the charity’s general risks and its financial position.
- To ensure compliance with all statutory requirements as set out by Companies House and the Charity Commission and by other relevant statutory bodies and legislation.
- To challenge and support the CEO and, through them, the broader staff team.
Additional Duties and Responsibilities
The following additional duties and responsibilities have been adopted by Alcohol Change UK:
- To abide by Alcohol Change UK’s policies, such as those on equal opportunities, health and safety, safeguarding, code of conduct, conflicts of interest, GDPR, etc.
- To endeavour to achieve at least 75% attendance at Board meetings. In accordance with the governing documents, trustees missing three consecutive board meetings without reasonable cause will normally be asked to step down.
- To undertake training as required and to participate in an annual development appraisal.
- To join at least one of the charity’s four sub-committees.
- To represent Alcohol Change UK at events and to act as a positive ambassador for Alcohol Change UK amongst its key audiences.
- To understand and respect the boundary between governance and the operational matters that are delegated to the staff team.
- To respond to Alcohol Change UK correspondence in a timely manner.
Extra Duties of the Treasurer
- Chairing the Finance Audit Investment and Risk sub-committee.
- Advising the CEO and board on financial strategy and risk.
- Supporting the CEO and finance staff on financial matters, for example by advising the staff team on the production of budgets, management accounts and other financial information to ensure they are as useful to the board as possible.
- Providing substantive input to the Trustees’ Annual Report & Accounts.
- Having a direct line of communication with the auditors.

As Chair, you will lead this established, innovative and highly-regarded charity as it works to deliver on the rising demand for services in Bromley and beyond.
Bromley Y is a long-established Charity based in Bromley which listens to feedback from Children, Young People (CYP), their families and/or carers as well as partner agencies. We are a Mental Health (MH) and Emotional Wellbeing Service based on the principles of IThrive and IAPT. As a small charity, there will be times when the trustees will need to be actively involved beyond Board meetings. This may involve scrutinising board papers, leading discussions, focusing on key issues, providing advice and guidance on new initiatives, presenting externally, or other issues in which the trustee has special expertise.

Terms of office
•Trustees are appointed for a 4-year term of office, renewal for this is notstipulated.
•This is a voluntary position, but reasonable expenses are reimbursed.

•Attending 1 all day annual strategy and training days.

About VocalEyes
VocalEyes is an arts organisation and charity that works with and for blind and visually impaired people. With access and inclusion at its heart, its purpose is to create accessible performances, events and digital media for arts and heritage venues across the UK. This is primarily through audio description services and through the delivery of training and consultancy to the cultural sector.
Funded by Arts Council England (ACE) and a variety of Trusts and Foundations, a team of freelance audio describers, trainers and consultants work with hundreds of theatres, museums, galleries, and heritage sites each.

The Treasurer’s role is to maintain an overview of VocalEyes’ financial affairs, ensure its financial viability and sustainability and see that the charity maintains proper financial records and procedures in line with accepted accounting practice.
The Treasurer will have:
- Experience of budgeting and planning.
- The skills to analyse proposals and examine their financial consequences.
- Capacity to be available to give financial advice and answer enquiries from any staff or volunteers on an ad hoc basis.
- A broad understanding of risk management in the wider business sense.
- A background in good governance within a public or private sector organisation.
The Treasurer, with other Trustees, must also hold the charity “in trust” for current and future generations by ensuring that VocalEyes has a clear vision, mission and strategic direction and is focused on achieving these.

The Trustee role for Zubeda Welcome is intergral for our organisation's strategic development. As a Trustee you will ensure that Zubeda Welcome fulfils:

Zubeda Welcome is an award winning, faith-based UK registered charity no. 1198710 set up to support refugee children in the UK. Zubeda Welcome’s niche focus is to support refugees with madrasa (Islamic school) fees to help them retain their faith. Collectively, our initiative seeks to empower refugee children to overcome the barriers posed by displacement. By nurturing their faith, facilitating islamic education to help them retain and strengthen their deen and Muslim identity. The ripple effects extend beyond the individual child, positively impacting families and fostering a sense of community that transcends cultural and religious boundaries.
Ultimately, our goal is to pave the way for a brighter and more hopeful future for these resilient young muslim individuals as they navigate the challenges of rebuilding their lives in a new environment. By ensuring access to high-quality Islamic education, we anticipate that refugee and asylum seeker children will develop a profound understanding of their faith within the UK context. This not only fosters a sense of belonging and connection to their religious identity but also instils confidence in themselves and their community. Trustee responsibilities :
- Give strategic direction to the charity, developing and setting overall strategy and policy, defining goals and setting targets and evaluating performance against agreed targets
- Work collaboratively with all trustees and the executive, supporting the delivery of our strategic priorities
- Ensuring that the charity’s governance is of the highest possible standard
- Zubeda Welcome’s strategic priorities are financially appraised and budgets are aligned to both short-term and long-term objectives
- Support the Board’s duty to ensure proper accounting records are kept; financial resources are controlled, invested and efficiently spent in line with governance, legal and regulatory requirements
- Ensuring compliance with legal, statutory and regulatory responsibilities
- Act as an ambassador for Zubeda Welcome, representing the charity at meetings and facilitating network and funding opportunities as these arise
- Take some responsibility for fundraising, whether that be through utilising your own network for funding opportunities or supporting fundraising activities
- Use professional expertise and experience to provide guidance and advice on the development, management and impact assessment of existing and new programmes and projects
- Use professional expertise and experience to provide guidance and advice on potential partnership opportunities to broaden our reach and increase our impact
- Review planning/budgeting processes in participation with the Board and constructively challenge where required
- Be actively involved in recruitment of new talent for the charity e.g. increasing our volunteer and employee capacity

- Acting as guardians of the charity’s assets, both tangible and intangible, taking all due care over their security, deployment and proper application.
