Main Purpose of the Role:

Royal British Legion Industries Ltd. (RBLI) is both a charity and a company limited by guarantee.  The trustees of RBLI are therefore responsible for oversight of the organisation under both charity and company law.  They are they legal directors, as determined by company law and the Articles of Association.  The day to day running of RBLI is the responsibility of the Chief Executive and the Senior Leadership Team (SLT).  This role, which reports to the Director of Governance, Compliance & Business Systems, supports the board of trustees and the SLT in all areas of governance.

Overview of the Role & Team:

RBLI is a diverse and complex organisation, with divisions that cover social care, property management, estates management, welfare and employment solutions, manufacturing, and marketing / fundraising.  There are also several support functions including people and culture, finance and performance, business systems, and risk and compliance.  This role is an essential part of the change process currently ongoing across RBLI.

The team is overseen by the Director of Governance, Compliance and Business Systems.  Key working relationships include the board of trustees, the SLT, Assistant Directors, the Strategic Assistant, the wider Governance & Compliance Division, and the support functions.

Your Key Responsibilities:

Governance:

• Oversight of all board and sub-committee meetings, ensuring there is an efficient and effective structure to achieve organisational objectives including the review and maintenance of all terms of reference.
• Compliance with internal KPIs in relation to issue of board and sub-committee papers.
• Oversight of all matters arising and actions.
• Support the induction process for new trustees.
• Support the board and committee effectiveness review.
• Submission of all statutory returns.
• Ensuring compliance with the Companies Act and the Charities Act.
• Oversight of any governance related returns.
• Oversight of key RBLI registers such as Declaration of Interests.
• Oversee submission of documentation during the annual audit process.

Company Secretarial:

• Responsible for planning and managing the annual cycle of meetings for the board and sub-committees, including maintenance of the forward plans and agendas.
• Taking minutes of the boards and sub-committees (shared responsibility).
• Oversee the logistics for the meetings.
• Responsible for planning the AGM.

Legal and Assurance:

• Monitor compliance with relevant statutory and regulatory requirements, proving advice to SLT and members of staff as necessary.
• Oversight and communication of all compliance policies such as Conflicts of Interests and Gifts & Hospitality.
• Supporting the Director of Governance, Compliance & Business Systems to deliver the assurance and compliance programmes.

Risk Management:

• Managing the insurance process in terms of:
• Collating information in relation to claims
• Submitting claims information
• Supporting the Finance Team in the annual insurance renewal process

Requirement for the Role:

Essential:

• Professional qualification in relevant area e.g. accountancy, governance, risk, legal
• Extensive experience in a governance role within a charity or similar organisation
• Experience of working closely with trustees, directors, and senior leadership

• Advanced IT skills in areas such as Word, PowerPoint, Teams, Zoom, Outlook
• Excellent organisational skills
• Excellent communication and stakeholder management skills

Desirable:

• ICSA or similar qualification

We have an exciting, newly created opportunity for an experienced Head of Governance to join RBL and support the development and implementation of a strong governance function.

As Head of Governance, you will be at the centre of advising, supporting and guiding our governance function which services our National Chair, Board of Trustees, Director General and Executive Board.

Reporting to the Chief of Staff, key responsibilities will include:

• Working to ensure our organisation complies with all its legal, constitutional and regulatory requirements

• Building relationships with Committee Chairs and Executive Directors to ensure smooth running of committees
• Establishing metrics to support the progression of the governance function, and management of governance policy schedule
• Working with the Chief of Staff and Chief Finance Officer to ensure all statutory and regulatory governance, company, and charitable returns are made
• Providing advice on the role and constitution of Board of Trustees, and its relation to the Royal Charter, Committee Terms of Reference, Code of Governance and Scheme of Delegation
• Managing and delivering trustee elections, appointments and the induction of new trustees

An exciting opportunity has arisen for a Risk & Assurance Manager to join our Audit, Risk & Governance Team. This role will require the successful candidate to support to the Head of Audit, Risk & Governance in the implementation and oversight of effective risk management and assurance policies and procedures for the whole organisation.

 You will attend the Audit & Risk Committee and other board committees from time to time to present on risk and assurance.  With experience of delivering 2nd line risk and assurance activities within large, complex or heavily regulated organisation, you will be effective in building professional relationships and influencing and collaborating with colleagues from all disciplines and at all levels. 

You will need to engage effectively with frontline and support colleagues to really understand the needs of our beneficiaries and the risks to the charity more broadly.  The ultimate objective of risk management at The Children’s Trust is to ensure the charity continues to deliver high-quality, safe and effective and financially sustainable services for vulnerable children now and in the longer-term.

Although the role does not have any formal direct reports, the Risk & Assurance Analyst will have a dotted line into the Risk & Assurance Manager, providing support particularly on business continuity but also on risk management as and when necessary.

With experience of working in a complex environment, across a large and diverse workforce, you will be exceptionally organised with a high-level of attention to detail. You will naturally possess excellent inter-personal skills, and an ability to consult and positively engage with key stakeholders across the organisation.

1. Background and Purpose

The Deputy Director works in close partnership with the Executive Director (ED) to enhance the work of the small, dynamic secretariat team to create more momentum across its network. This new role will be instrumental in delivering on the strategic objectives and securing sustainable funding through its continued evolution. The person will be responsible for connecting the various programmatic areas of work quality assurance and impact, capacity support and its new country level work. They will guide planning processes to be able to track and analyse our impact. They will leverage the knowledge of the team to seek new opportunities for ensuring the Alliance delivers on its mission. They will be instrumental in developing and implementing long-term plans and processes that can bring new levels of success for the organisation.

2. Main Duties and Responsibilities

Guide and facilitate the team’s delivery of the CHS Alliance strategy:

· Work with the ED on delivering the strategy to position CHS Alliance as a network driving system change for greater accountability to people in crisis, creating relationships within teams and externally to influence change across the global humanitarian sector.

· Develop processes to support the team track progress on how we are meeting our objectives so they can be clearly communicated and analysed to continue to deliver on the ambitions of the Alliance’s strategy.

· Facilitate a strong culture of organisational collaboration to achieve goals and objectives; developing a framework that support the team’s cohesion in delivering the goals of the organisation to create greater impact.

· Provide oversight of the funding needs and priorities and support strong proposal development and compliance with donor funding and guide decisions on how to allocate and manage resources.

· Work closely with the ED, to establish and execute a fundraising plan to achieve the strategy and workplan of the CHS Alliance, including donor intelligence.

· Provide support to ensure staff can complete their responsibilities to their highest potential.

· Initiate programmes and activities that are resourced and effective and efficient as possible.

External partnerships & donor engagement:

· Stay abreast of emerging trends in the volatile context of humanitarian action and provide strategic thought leadership on the dynamic and shifting priorities and what it means for the Alliance network.

· Work closely with the ED to create a strong donor advocacy and engagement plan that goes beyond fundraising to work with donors as drivers of accountability.

· In coordination with the rest of the Alliance team, engage with external stakeholders to build and maintain relationships contributing to the CHS Alliance strategic objectives.

· Work closely across the teams to keep abreast of the Alliance members’ needs to meet the CHS commitments.

· Actively seek opportunities for partnerships to advance the CHS Alliance Strategic Plan (e.g. with members, academia, coordination bodies like the IASC, or other key stakeholders).

· Promote the CHS and the work of the CHS Alliance through relevant social media channels or platforms, through conference presentations and through workshops or other events.

· Represent CHS Alliance and its positions at meetings, speaking engagements or through opinion pieces. Assist the CHS Alliance to influence policy in the sector.

· Act as the public face of the CHS Alliance, along with the ED, to promote its mission and purpose.

3. Profile

We're Hiring! Green Space for Health Programme Director (Maternity Cover)

This is an exciting senior role for an environmentally committed leader to cover maternity leave. We are looking for someone who can take strategic oversight of our Green Space for Health programme and provide effective management of the project and its staff.

About the role

This is an exciting senior role for an environmentally committed leader to cover maternity leave. We are looking for someone who can take strategic oversight of our Green Space for Health programme and provide effective management of the project and its staff.

Our Green Space for Health programme helps to realise the value of green space for physical and mental health, both at healthcare sites and in the wider community. Our flagship project, the NHS Forest, promotes tree planting and woodland creation at NHS sites, supporting and encouraging sites to plant and maintain trees through offering free trees and advice. We support NHS sites to develop their greenspace for the benefits of patients, health staff and communities, while improving biodiversity and combatting climate change. We do this by encouraging green space enhancements such as meadow areas, vegetable growing, orchards and therapeutic gardens, as well as supporting the delivery of nature-based interventions for health.

The Green Space for Health Director will oversee the development of the NHS Forest and other Green Space for Health projects, delivering the programme strategy. This will include managing the Green Space for Health team, overseeing the delivery of our funded projects including budget management, coordinating reports to funders and trustees, and taking a strategic lead on the development and funding of the Green Space for Health programme in consultation with other stakeholders. The Green Space for Health Director will deliver our programme strategy through fulfilling the following responsibilities:

• Provide line management for the Green Space for Health Team’s 5 staff members. This will include one-to-one meetings, appraisals and regular team meetings.
• Oversee the delivery of the Green Space for Health funded projects, including NHS Forest tree planting projects and our Nature Recovery Ranger programme.
• Raise income for, monitor and oversee the programme budget in consultation with CSH’s fundraising and finance team.
• Coordinate reporting on the programme, including liaising with funders and producing reports for funders and for CSH’s board of trustees.
• Oversee the development and delivery of Green Space for Health training course, working with Green Space for Health staff and with administrative and strategic support from CSH’s education team.
• Work with the team to coordinate the NHS Forest Advisory Group.
• Build partnerships that will further the development of the programme and contribute to fundraising in line with the programme objectives.
• Act as a spokesperson for the programme, including making presentations, responding to media requests and participating in relevant national policy fora, including for the purposes of wider policy development.

We are seeking to appoint two experienced Safeguarding Officers on a permanent contract; altogether 1.3 full-time equivalent between the two posts, with hours being negotiable with successful candidates.The post holders will have a relevant professional qualification and be able to demonstrate a proven track record of direct safeguarding practice with vulnerable adults or children or both. The successful applicants will be expected to provide effective leadership across the District to promote a culture of safeguarding, whilst supporting survivors of abuse.Working with partners from the Church’s Learning Network, the post holders will be expected to contribute to the planning and delivery of the District’s safeguarding training programme.

Location: Home-based, own transport is essential as travel will be required region-wide.We need one member of staff to cover Cumbria and North Lancashire.

Managing 4 direct reports from multi-disciplinary teams across the city, you will manage resources, providing effective, positive leadership to the heads of teams, in order to deliver Sustrans’ strategy and business plan priorities and initiatives across London. 

Strengthening our strategic relationships with key organisations and people, such as Transport for London (TfL), local authorities, the Mayor’s Office and politicians, you will positively influence decision-makers in the field of sustainable transport.

You will be responsible for income generation through business development, identifying new areas of funding, guiding your teams to do the same. You will build and manage relationships with key funding bodies and partners in order to secure funds for project delivery and implementation and to help catalyse change in London.

This role will require travel and work at locations as necessary to undertake projects on behalf of Sustrans. Candidates should be based in or close to London, with 2-3 days per week in our London Hub, based in Brixton.

About you

Age UK is recruiting for a Data Privacy Manager to join our Information Protection and Compliance team to continue our great work to develop and manage the Age UK data protection privacy programme and to work on programmes of activity as defined by the ICO.

As Data Privacy Manager, you will review, update, and monitor the policies and procedures that are in place to ensure compliance with the Data Protection Regulation 2018 and the Privacy and Electronic Regulation (PECR, 2003) laws, including managing internal data protection activities, advising on data protection impact assessments (DPIAs), training staff, and conducting internal audits.
This role focuses on providing data protection advice to Age UK's various business units promoting a "privacy first" approach to design and development of products and services that involve the use of personal data and your primary aim will be to recommend and oversee measures to address any identified gaps in data protection and security.

The successful candidate will use their experience in data governance to undertake regular due diligence on the key elements of the Age UK data privacy framework, identifying and reporting any areas of practice and procedure that that require focus and remedy to ensure that there is no weakness across the charity and our commercial partners.

This role is offered on a Hybrid / London contract and currently the team meet in our London office once a week.

About the post of CEO

You will report directly to the Board of Trustees, ensuring excellent governance of the Charity, regulatory compliance with the Charity Commission and Companies House, and will collaborate with Trustees on designing and executing the 2024-2027 strategy. You will lead and support a team of seven staff, supporting 500+ older and disabled Neighbours annually with a large team of volunteers. You will ensure excellent management of charity’s finances and that adequate funding is in place to maintain all charitable activity, monitoring and evaluation. You will ensure that the charity maintains its reputation and develops its exposure and standing.

You will have strategic leadership experience and have previously led teams. You will have a strong understanding of charity governance and will have demonstrable fundraising knowledge and/or experience. You will be passionate about supporting older and disabled people and will have a strong understanding of their needs. You will be equipped to represent the Charity both internally and externally.  

JOB DESCRIPTION

Strategy and Operations

1. Develop, implement, and lead execution of the charity's annual operational plan and 3-year strategic plan.

2. Identify appropriate level of staffing, volunteering, ensuring that all staff and volunteers are appropriately interviewed, vetted, inducted, trained, developed, and supported to deliver against their objectives.

3. Ensure appropriate upkeep, security, and management of the charity’s premises, including all relevant contracts and payments.

4. Ensure that the charity’s IT systems are fit for purpose and compliant with relevant law.

People

5. Line management of seven staff members, and responsibility for staff and team development, cohesion and appraisals.

6. Recruit and support social club facilitators and appropriate consultants to provide additional resource to the charity as required.

7. Lead staff member for safeguarding, liaising directly with Hammersmith and Fulham Adult Social Care.

8. Ensure appropriate mechanisms and safeguards are in place to support up to 100 regular volunteers, and up to 100 additional corporate/student volunteers.

9. Ensure appropriate mechanisms and safeguards are in place to support up to 500 beneficiaries and additional attendees at FGN events.

Finance and Fundraising

10. Develop, implement, and lead charity’s financial and fundraising planning and management, ensuring that the charity operates at least at break-even, ideally with a small surplus.

11. Ensure that the charity has a diverse range of income across various streams, inclusive of (but not limited to) public sector, trusts and foundations, corporate income, events, and online giving.

12. Ensure that the charity is receiving value for money with all expenditure, ensuring contract review on a timely basis as appropriate.

13. Ensure appropriate cashflow projections so that expenditure does not exceed income in any one year unless pre-agreed with trustees.

14. Ensure that appropriate financial controls are in place so to protect charity and anyone handling money on behalf of the charity.

15. In conjunction with the finance administrator and hon. treasurer monitor all income, expenditure, accounts, funding investments and budgets.

Governance

16 Ensure compliance with charity and company law, inclusive of writing, presentation and filing of annual report and accounts and other Company Secretary duties.

17 Organise, attend, record and report at board meetings every two months, inclusive of finance and operations reporting and the regular cycle of governance reviews.

18 Plan, organise and attend AGM and annual strategy session.

19 Ensure appropriate level of risk management and insurance are in place for the charity.

20 Ensure all relevant policies, procedures and financial controls are in place, inclusive of annual review.

Communications and Impact

21. Represent and promote the charity in public, sourcing media opportunities as appropriate so to increase visibility.

22. Represent the charity on appropriate networks and forums so to develop stakeholder relationships and source opportunities for cross-partner collaboration.

23. Ensure positive, fit-for-purpose, internal and external communications, inclusive of monthly newsletters, social media presence and other marketing materials.

PERSON SPECIFICATION

Role Purpose

This is a senior support post of essential development importance to allow the Dean, Chief Operating Officer, Chapter and committees to develop and maintain an effective system of governance for the Cathedral with adherence to the highest standards of good governance practice. This will include relevant regulatory and legislative requirements. The post holder will provide comprehensive and effective secretariat support for Chapter and its statutory committees.

Main Duties and Responsibilities

Governance administration

• Assist in the production and submission of a range of information required in order to demonstrate compliance;

• Assist the COO with returns, reports and filings for statutory bodies including the Charity Commission, Church Commissioners, Information Commissioner’s Office, HSE and Companies House;
• Act as the Whistleblowing Officer and assist in the working of the Whistleblowing Policy;

• Maintain the declarations of interest and gift registry records for senior staff and committee members and record in the minutes when committee members are conflicted out or need to declare an interest;
• Assist the COO in keeping a log of complaints under the Complaints Policy adopted under the Cathedrals Measure and help to ensure that complaints are dealt with according to the policy;
• Provide such other support at the COO reasonably requires including correspondence, research and diary management.

Committees administration

• Lead the co-ordination, preparation, planning and follow-up for meetings and other committee work associated with the governance of the Cathedral. This will include issuing invitations, booking rooms, issuing Zoom invitations, arranging refreshments and access needs, assisting in the drafting of agendas, gathering and circulating supporting papers for the meetings, attending meetings, taking confidential minutes, circulating and amending minutes and maintaining action trackers for the members of the following committees: Chapter, Finance Committee, Audit & Risk Committtee;
• Assist in the work of the Nominations Committee to recruit members for the new committees;
• Assist in the work of the Standing Committee as it prepares for Chapter meetings;
• Assist the Dean and COO in their governance responsibilities under the Care of Cathedrals Measure 2021, including being the point of contact with the Fabric Advisory Committee and liaising with its Chair and Secretary;
• Liaise with committee members and maintain good relationships;
• Liaise with professional advisers where appropriate and in consultation with the COO;
• Assist in the scheduling of training and circulation of information and papers for Chapter and committee members as required. 

Safeguarding administration

The Cathedral follows the safeguarding best practice and guidance set out in the Diocesan policy “A Safe Church” and also follows the policies and guidance set out by the National Safeguarding Team.

Reporting to the Cathedral Safeguarding Lead (CSL), the post-holder will:

• Assist the CSL in ensuring that safer recruitment practice is observed in all recruitment;
• Undertake the DBS checks for staff and volunteers if required, including verifying identity, submitting the applications and reporting to the candidate’s line manager/team leader when the checks have been completed. This will include advising colleagues as to which checks are appropriate and liaising with the Diocesan Safeguarding team and Volunteers & Community Officer;
• Maintain accurate records of all DBS checks carried out in a central register;
• Arrange for all new staff (paid and volunteer) to attend safeguarding training and arrange follow-up training for existing staff (every 3 years). This will include ascertaining which levels of training are required and which individuals will also need specific additional training for their roles;
• Liaise with the trainers to identify training sessions, book rooms and catering and arrange room set-up;
• Maintain accurate records of all safeguarding training carried out in a central register;
• Report to Chapter when required.

Additional responsibilities

• Support the COO in the coordination of risk management across the organisation;
• Arrange and manage the Annual Parochial Church Meeting (APCM) and parish clerking duties;
• Ensure timely publication of statutory notices in advance of the annual APCM;
• Assist the COO with returns, reports and filings for the Parish;
• Support data protection compliance across the organisation;
• Ensure that the highest standards of professional performance are maintained;

About you

This role is based with our Wales & Southwest team, and we are looking for someone with particular experience and developed networks across this region. Our successful Enterprise Manager may previously have worked in roles such as Partnerships Manager, Development Manager, Fundraising Manager, Partnerships & Fundraising Manager, and will ideally have good knowledge and confidence in identifying and successfully bidding for project funding via government departments, regional agencies, statutory funders, and charitable trusts. Prior experience of statutory funded active travel schemes is desirable.
