Trustee Responsibilities :

The Board as a whole is collectively responsible for the success of the charity. A Trustee is a Board Member and has a number of responsibilities in order to ensure robust management of the charity including:

• Make decisions objectively in the interests of the charity.
• Implement Hopian’s Vision, Mission, and Values.
• Lead on the aims and objectives of Hopian by raising awareness of domestic and sexual abuse, and child sexual exploitation and abuse and its impact on individuals and their families.

Trustee Duties :

• Ensuring that the organisation pursues its stated objects (purposes), as defined in its governing document, by developing and agreeing a long-term strategy.
• Ensuring that the organisation complies with its governing document (i.e. constitution or memorandum and articles of association), charity law, company law and any other relevant legislation or regulations.
• Ensuring that the organisation applies its resources in pursuance of its charitable objects (i.e., the charity must not spend money on activities that are not included in its own objects) .
• Ensuring that the organisation defines its goals and evaluates performance against agreed targets.
• Safeguarding the good name and values of the organisation.
• Ensuring the effective and efficient administration of the organisation, including having appropriate policies and procedures in place.
• Ensuring the financial stability of the organisation.
• Protecting and managing the property of the charity and ensuring the proper investment of the charity’s funds.
• To work in the interests of the charity and not for personal gain.
• To ensure that the Board Members takes proper professional advice on matters in which it does not have competence.

In addition to the above statutory duties, each trustee should use any specific skills, knowledge or experience they have to help the board of trustees reach sound decisions. Tasks:

• To work with other Board Members to form an effective governing body for the charity.

Person Specification

We are looking for a  Trustee who has an understanding and acceptance of the legal duties, responsibilities, and liabilities of trusteeship. It is expected that a Trustee takes ownership to develop and maintain this understanding and application of duties. In addition to having:

Introduction to African Adventures Foundation

African Adventures Foundation is a registered charity set up in 2013 to provide support to 34 schools in developing areas of Ghana, Kenya and Zanzibar.

These schools provide education, health and food security, and social support to young people whose access to these basic services would otherwise be very limited. African Adventures Foundation helps by funding food security programmes, the construction of important school facilities, and hygiene projects that will benefit children’s health and education.

Our mission is to provide more children with a quality education and better opportunities in life.

 All trustees are responsible for governing a charitable company and directing its management and operation. They must also ensure that the trust complies with all legal and statutory requirements.

About the role

The Secretary supports the effective governance and administration of the African Adventures Foundation. The role ensures that the Board of Trustees operates efficiently, meetings are properly organised and recorded, and the charity complies with regulatory and administrative requirements. The Secretary works closely with the Global Chair, Treasurer, and other Trustees to ensure the charity follows best practice in governance and maintains accurate records.

As an ambassador, they also support external stakeholder and donor activities ensuring compliance to the standards required. 

Key Responsibilities 

Governance and Administration

• Support the Global Chair in ensuring AAF is effectively governed and operates in line with its governing document.
• Ensure trustee meetings are properly administered, including preparing agendas, coordinating papers, and taking accurate minutes.
• Ensure that trustee decisions and discussions are clearly recorded and stored appropriately.
• Maintain up-to-date records of trustees, governance documents, and key organisational information, including steward of the governance schedule for all territories.

Meeting Management

• Ensure that trustee meetings are properly administered and recorded.
• Circulate agendas, minutes, and supporting papers to trustees in a timely manner.
• Ensure other meetings, such as the Annual General Meeting (AGM), and key organisational events are properly administered.
• Ensure that minutes from meetings are approved and maintained as part of the charity’s official records.

Compliance and Record Keeping

• Ensure that records required by regulators are properly maintained, including those required by the Charity Commission for England and Wales.
• Maintain accurate governance documentation, including trustee appointments, resignations, and declarations of interest.
• Ensure that Charity Commission and other relevant organisation records are maintained and kept up to date.

Regulatory Reporting

• Ensure required information is filed with regulators in accordance with statutory deadlines.
• Submit annual returns and other required filings to regulatory bodies in the correct format and within required timescales.
• Support the Board in ensuring compliance with relevant guidance from bodies such as the Charity Commission for England and Wales and the Fundraising Regulator.

Monitoring Actions and Board Support

• Maintain an action log for trustee meetings.
• Monitor committee member action points and follow up where necessary.
• Support trustees by ensuring they have access to relevant governance information and documents.
• Assist the Board in maintaining good governance practices and transparency.

What we are looking for

• Strong, organisational and administrative skills.
• Ability to take clear and accurate meeting minutes.
• Good attention to detail and record-keeping ability.
• Understanding of governance responsibilities within the UK charity sector.

Terms of appointment

Terms of office

• Trustees are appointed for a 2-year term of office, renewal for 2 further terms to a maximum of 6 years.
• This is a voluntary position, but reasonable expenses will be reimbursed.

Time commitment (Estimated at one day per month, but can vary)

• Attend the board meetings – a mix of online and in person.
• Additional time for preparation and distribution of meeting documentation. Time to manage governance records and regulatory submissions throughout the year.

• Support and provide advice on AAF’s purpose, vision, goals, and activities.

• Provide support and challenge to the AAF executive and team in the exercise of their delegated authority and affairs.
• Keep abreast of changes in AAF’s operating environment.
• Contribute to reviews of African Adventures Foundation’s own governance.
• Attend Board meetings, adequately prepared to contribute to discussions.
• Use independent judgement, acting legally and in good faith to promote and protect African Adventures Foundation’s interests, to the exclusion of their own personal and/or any third-party interests.
• Contribute to the broader promotion of African Adventures Foundation’s objects, aims, and reputation by applying your skills, expertise and knowledge.

About WAST

We are a grassroots organisation led-by and for women seeking asylum in Greater Manchester. We campaign for social justice and women's rights through a peer-led support model that helps women find their place in the UK. Women seeking asylum continue to live in a hostile environment where they often feel vulnerable and isolated. WAST (Women Asylum Seekers Together) seeks to combat this by offering a safe space where women can be heard, build confidence, and develop new skills.

The Roles

Due to the retirement of three long-standing trustees, we are recruiting four women to join our diverse Board of Trustees and help us deliver projects that the women themselves have identified as priorities.

One of these positions is for a Treasurer, who will support the Board in overseeing the charity’s finances, ensuring strong financial management and sustainability.

We are also particularly interested in recruiting more Trustees with lived experience of the asylum system, or the immigration system. WAST’s Chair and Honorary Chair have lived experience, and we would very much value more women with lived experience on our board. 

The current Board have a diverse range of skills. We particularly welcome applications from women with experience of campaigning, fundraising or human resources. However, this should not put off any potential applicants who may bring other qualities to the Board.

A Touch of Gentleness is a non-profit CIC shaping a more compassionate culture by putting gentleness, presence, and human connection back at the heart of society, organisations, and everyday life

Watford and Three Rivers Refugee Partnership operates in the borough of Watford and Three Rivers district, providing support to refugees and others without status in the UK. The partnership has a full-time caseworker and two part-time support staff in addition to around 80 volunteers. It currently serves around 350 families and individuals.

The charity provides:

· A weekly drop-in session – currently Tuesdays 11:00-13:30 – for existing and new clients to see us

· Casework supporting applications for leave to remain and related issues

· A weekly social hub – concurrent with the drop-in – for any client to join us for company and activities

· Education for our clients, mainly in the English language but including help with literacy and numeracy.

The operations manager will be responsible for the day-to-day management of the charity, reporting to the committee and trustees, ensuring the organisation runs efficiently and resources are used effectively to achieve its mission.  They will provide a line management and mentoring role for the case worker and office administrator. The successful candidate would have had managerial experience, possibly in the charity, education, healthcare or related sectors. The role is a part time one – expected to average 2 days per week, and likely to suit someone retired from employment.

Specific roles for the operations manager are:

· Support of communication within the charity

· Supervision of the weekly (currently Tuesday, 11:00am-1:30pm) welcome desk, drop-in, social hub and casework operation

· Line management of our full-time caseworker and part-time office manager

· Support of elements of casework by allocating other volunteers, logistics etc.

· Making day-to-day decisions within agreed scope, for management of the charity

· Report to the committee (including trustees) at its regular meetings with status of cases and requests for decisions

· Advising the committee in developing the charity, helping work on core mission, vision and strategy.

· Working with our fundraisers to provide required information and guidance where needed.

The successful candidate would have experience in:

· Proven organisational and multitasking skills

· Knowledge and experience of regulatory requirements to ensure compliance (e.g. GDPR etc)

· Ability to build and maintain relationships with internal and external stakeholders

· Management of staff and volunteers

· Working with a volunteer committee and trustees

· Development of a business, charity or equivalent organisation

What you will be doing

• Overseeing an appropriate programme of awareness raising activities so that potential beneficiaries, volunteers and supporters are aware of SSAFA as first in mind for support.
• Building relationships with the regional and national SSAFA team, local voluntary organisations and, if applicable, SSAFA serving community teams, local military establishments, etc.
• Attending events as a key SSAFA representative.
• Providing timely reports and information to SSAFA’s central office
• Overseeing a programme of meetings including an AGM, branch meetings, committee meetings, training etc.
• Working with other volunteers, regional and national team members to attract and recruit new volunteers as required.
• Work closely with the community engagement co-ordinator to recruit, welcome, induct, support, and manage volunteers in line with SSAFA policies, such as the Volunteering Policy, Volunteer Code of Conduct, Data Protection Policy, and Safeguarding Policy.
